Scottish Equity Partners closes new technology focused fund SEP V

Macfarlanes has advised Scottish Equity Partners (SEP) on the fundraising of £260m for its new venture capital fund, SEP V.

SEP V will look to invest up to £20m in high growth technology and technology-enabled companies.  These companies will be mainly in the UK and Ireland, although investments in companies in other European countries will be considered.

Herbert Smith Freehills advises Autosports Group on its A$482.4 million IPO

Herbert Smith Freehills has advised Autosports Group Limited (Autosports) on its initial public offering (IPO), priced at A$2.40 a share, raising A$160 million for a projected A$482.4 million market capitalisation.

Autosports owns and operates 23 prestige and luxury new motor vehicle dealerships, two used motor vehicle dealerships and two collision repair workshops across Sydney, Melbourne and Brisbane, representing 11 prestige and luxury brands.

GDS Holdings Limited Completes US$192.5 Million NASDAQ IPO

The Firm represented GDS Holdings Limited (“GDS”) in connection with its initial public offering and listing on the NASDAQ Global Market of 19,250,000 American Depositary Shares, representing 154,000,000 Class A ordinary shares. The total offering size was US$192.5 million before exercise of the underwriters’ overallotment option. Credit Suisse Securities (USA) LLC, J.P. Morgan Securities LLC, Citigroup Global Markets Inc., RBC Capital Markets, LLC and China Renaissance Securities (Hong Kong) Limited acted as joint bookrunning managers of the offering.

Firm Advises on US$175 Million IPO of Varun Beverages

Squire Patton Boggs has advised the global coordinators and underwriters Kotak Mahindra, Axis Capital, CLSA and Yes Securities, as US counsel, on the Rule 144A US$175 million initial public offering by Varun Beverages Limited. Varun Beverages, which belongs to the RK Jaipuria group, is the largest franchisee of carbonated and non-carbonated beverages for PepsiCo outside the US. The RK Jaipuria group is a diversified conglomerate with interests in food and beverages, including fast food chains.

Freshfields advises on China Resources Pharmaceutical Group's $1.8bn global offering

Freshfields Bruckhaus Deringer LLP ('Freshfields') has advised a consortium of 14 bookrunners on the US$1.8 billion global offering of China Resources Pharmaceutical Group Limited ('CR Pharmaceutical'), acting as US and Hong Kong counsel to the underwriters of the deal. The shares commenced trading on the Hong Kong Stock Exchange on 28 October 2016.

China Resources Pharmaceutical Group Ltd. (“CR Pharmaceutical”, stock code: 3320) had its H shares listed on the main board of the Hong Kong Stock Exchange, with King & Wood Mallesons (KWM) advising its underwriters. CR Pharmaceutical issued a total of 1.543 billion shares globally on an offer price of HK$9.10 per share, and raised a net amount of approximately HK$13.671 billion, making it the largest IPO conducted by non-financial enterprises in Hong Kong’s capital market in 2016.

JNBY Design Limited Completes HK$800 Million (US$103.2 Million) Hong Kong IPO and Regulation S Offering

The Hong Kong office of the Firm represented JNBY Design Limited (“JNBY”) in connection with its initial public offering in Hong Kong and Regulation offering of an aggregate of 125,000,000 shares (prior to the exercise of the overallotment option), which raised HK$800 million (approximately US$103.2 million) in gross proceeds. The shares of JNBY are listed on the Hong Kong Stock Exchange. CCB International acted as the sole sponsor and sole global coordinator. CCB International and CITIC CLSA Securities acted as joint bookrunners and joint lead managers.

Kirkland Counsels Underwriters in ZTO's Initial Public Offering

Morgan as underwriters in the US$1.4 billion initial public offering of American depositary shares on the New York Stock Exchange (NYSE) of ZTO Express (Cayman) Inc. (NYSE: ZTO), a leading express delivery company in China. The listing took place on Oct. 27, 2016 and is expected to be the largest initial public offering of the year.
