Nabarro advises on £139.7m AIM IPO of Premier Asset Management Group

Nabarro is advising Stifel Nicolaus Europe Limited as nominated adviser, and Keefe, Bruyette & Woods (a trading division of Stifel Nicolaus Europe Limited) and Numis Securities Limited as joint Bookrunners on the £139.7m AIM IPO of Premier Asset Management Group plc (Premier), and the associated £63.7m placing for Premier and certain of its existing shareholders.

Allen & Overy advises ICI Pension Fund on eleven pension "buy-in" deals totalling GBP9bn

In a deal that demonstrates a whole new approach to pensions risk management, Allen & Overy has advised the trustee of the ICI Pension Fund on eleven bulk annuity insurance policies (or buy-ins). Taking place over a two-and-a-half year period, this has substantially de-risked the Fund on an unprecedented timetable.

October 1, 2016. AC Immune SA closed its IPO and listing on NASDAQ of 6,900,000 shares at a price of USD 11 each, valuing the gross proceeds of the IPO at USD 75.9 m. The IPO was conducted by Credit Suisse Securities (USA) LLC, Jefferies LLC and Leerink Partners LLC as joint-bookrunning managers. AC Immune SA is a Swiss clinical stage biopharmaceutical company focused on neurodegenerative diseases, based in Lausanne.

Macfarlanes advises on Premier Asset Management IPO

Macfarlanes has advised the major shareholder, a fund advised by Elcot Capital Management, on the flotation of fund management company Premier Asset Management (Premier) on the London Stock Exchange.

Premier has just under £5bn of assets under management.  Based on the placing price, IPO, Premier will be valued at approximately £140m on admission.

The Macfarlanes team was led by senior counsel Mark Slade.

Taylor Wessing advises Tritax Big Box REIT on its fundraising of up to £250 million

International law firm Taylor Wessing has advised Tritax Big Box REIT plc on its proposed placing, open offer and offer for subscription seeking to raise a target amount of £150 million, with the facility to increase to £250 million. Admission of the new shares to the Main Market of the London Stock Exchange is scheduled for 18 October 2016.

Jefferies International Limited represented Tritax as Sponsor, Sole Global Co-ordinator, Bookrunner and also as joint financial adviser with Akur Limited.

Niederer Kraft & Frey advises Capvis funds on their successful placement of 2,500,000 shares in VAT Group AG

Niederer Kraft & Frey (NKF) has advised funds managed by Capvis Equity Partners AG in connection with their placement of 2,500,000 shares in VAT Group AG by way of an accelerated bookbuilding. The total value of the transaction amounts to CHF 176,250,000. Credit Suisse AG and UBS AG acted as joint bookrunners.

National Bank of Greece S.A. €1.456 Billion Recapitalization

Davis Polk advised the joint global coordinators, joint bookrunners and co-bookrunners in connection with an offering by National Bank of Greece S.A. (“NBG”) of 1,524,851,811 new ordinary shares at a price of €0.30 per share in private placements outside of Greece. The total gross proceeds from the offering amounted to approximately €457.5 million. The new ordinary shares are listed on the Athens Stock Exchange.

DLA Piper advised Rand Merchant Bank on R10 billion rights issue by Remgro Limited

DLA Piper has advised Rand Merchant Bank (RMB), a division of FirstRand Bank Limited, in its capacity as the underwriter of the approximately R10 billion rights issue by Remgro Limited. This deal represents one of the largest rights issues in South Africa in 2016.

RMB is a South African diversified financial services brand encompassing investment banking, fund management, corporate banking and advisory services. All businesses in the RMB brand stable form part of the wider FirstRand Group.
