Clifford Chance advises CDB Leasing on US$800 million IPO

Leading international law firm Clifford Chance has advised China Development Bank Financial Leasing Co., Ltd. (CDB Leasing) on its US$800 million IPO, without taking into consideration the exercise of the over-allotment option. Joint sponsors were CITIC CLSA, Merrill Lynch and Deutsche Securities Asia. CDB Leasing is the largest leasing company in China by assets and is the first of the China Banking Regulatory Commission-regulated financial leasing companies to be listed in Hong Kong.

Gowling WLG advises Draper Esprit on £103m dual listing

Gowling WLG has advised Draper Esprit, one of the leading venture capital investors involved in the creation, funding and development of high-growth technology businesses in the UK, Republic of Ireland and Europe, on its admission to the AIM market of the London Stock Exchange plc and the ESM market of the Irish Stock Exchange and associated fund raising.

Kristian Rogers, a partner in Gowling WLG's corporate team, led and advised on the IPO with support from principal associate Caitlin Cumming and associate Emily Troubridge.

McCann FitzGerald advises on Aminex PLC's Stg£19.5 million share placing and open offer

We advised Davy and Shore Capital, the sponsor and placing agents, in respect of Aminex PLC's proposed Stg£19.5 million share placing and open offer which is subject to shareholder approval. The net proceeds of the placing and open offer, if approved, will be used principally to finance the drilling of Aminex PLC’s Ntorya-2 appraisal well and Ntorya-3 exploration well.

China Development Bank Financial Leasing Co., Ltd. HK$6 Billion (US$776 Million) Initial Public Offering

Davis Polk advised the joint global coordinators on the initial public offering and listing on the Main Board of The Stock Exchange of Hong Kong Limited and an international offering in reliance on Rule 144A and Regulation S of China Development Bank Financial Leasing Co., Ltd. The gross proceeds from the global offering amounted to approximately HK$6 billion (US$776 million) prior to any exercise of the over-allotment option.

Successful completion of capital increase of SIX Swiss Exchange listed Airopack Technology Group AG

In connection with the strategic partnership entered into by SIX Swiss Exchange listed Airopack Technology Group AG (ATG) with funds managed by affiliates of Apollo General Management, LLC (the Apollo Funds), ATG on 7 July 2016 successfully completed its capital increase regarding the equity investment from the Apollo Funds with net proceeds in the amount of approximately CHF 43.5 million.

Homburger advised Zur Rose Group in a two-step capital increase worth a total of up to CHF 44 m

In the course of its growth strategy Zur Rose Group agreed to a two-step capital increase by KWE Beteiligungen AG, a subsidiary of the Swiss investment company Corisol Holding AG. After having invested the first tranche of CHF 20 m, Corisol Holding holds 13.3 percent of the equity capital. A second tranche will increase the total investment to up to CHF 44 m. With this investment Corisol strives to achieve a strategic minority interest in Zur Rose Group. The raised capital supports Zur Rose Group to further strengthen its equity basis as well as to finance its growth strategy.

DLA Piper advises PORR on the issuance of a scrip dividend

DLA Piper has advised PORR AG on the issuance of a scrip dividend. The dividend was implemented in a form allowing shareholders to choose either cash or stock dividends. The settlement was handled by Erste Group Bank AG.

PORR AG  is a publicly listed construction company with its headquarters in Vienna. It is the biggest Austrian building contractor in the domestic building industry. The firm provides services in all areas of the construction and civil engineering industries, including those for roads, tunnels and special underground construction projects. 

Addleshaw Goddard advises GVC on FTSE listing

Addleshaw Goddard is advising client GVC Holdings plc on its transfer to a premium listing on the UKLA's Official List. Notification of the proposed transfer was announced on 1 July 2016.

The gaming company, which is currently listed on the UKLA's standard list with a market capitalisation of £1.8bn, anticipates being considered for inclusion into the FTSE UK index series at the FTSE Committee's September quarterly review meeting. The transfer remains subject to UKLA approval which has been requested with effect from 1 August 2016.

Herbert Smith Freehills advises on US$155 million IPO of India's Mahanagar Gas

Singapore: Leading global law firm Herbert Smith Freehills has advised the lead managers on the US$155 million IPO of Mahanagar Gas Limited (MGL), one of India's largest natural gas distribution companies.

The firm advised Citibank Global Markets India Private Limited and Kotak Mahindra Capital Company as bookrunners and lead managers on the Bombay Stock Exchange and Regulation S international offering.
