WLG Investment Funds team acts on Blackstone's £152 million offer for Japan Residential Investment Company Limited

Wragge Lawrence Graham & Co's (WLG) Investment Funds team is advising longstanding client Japan Residential Investment Company Limited (JRIC) on a £152.6 million recommended cash offer.

The offer, announced on 13 November 2015, has been made for JRIC by an investment vehicle indirectly wholly owned by Blackstone Funds. It is being implemented by way of a court sanctioned scheme of arrangement under Guernsey Law.

Linklaters advises Rheinmetall on capital increase

Linklaters advised Rheinmetall Aktiengesellschaft on a capital increase by around 10 percent and on the issue of new shares. The increase was effected from authorised capital against cash contributions, excluding any pre-emptive rights. The transaction was carried out in the course of a private placing by means of accelerated bookbuilding. The new shares carry dividend rights from 1 January 2015 on. They have been admitted to trading without a prospectus on the Regulated Market of several German stock exchanges; the settlement took place on 16 November 2015.

Roschier advising IK 2004 Fund in the IPO of Attendo

Roschier is representing IK 2004 Fund and Attendo AB (publ) in the initial public offering of Attendo's shares and listing on Nasdaq Stockholm, which is intended to take place on or around 30 November 2015. Carnegie and SEB are acting as Joint Global Coordinators and Joint Bookrunners of the offering, Nordea is acting as Joint Bookrunner and Danske Bank is acting as Co-Lead Manager.

Dechert Advises Medtech in the Issuance of its Convertible Notes

Dechert LLP advised Medtech, a French company specializing in the design and development of surgical assistance robots listed on Euronext Paris, in the issuance of its convertible notes to Ally Bridge Group. Medtech announced an issue of convertible notes and warrants to Ally Bridge Group, a global healthcare-focused investment group based in New York and Hong Kong. With this transaction, Medtech aims to continue its geographic expansion, particularly within the U.S. market, while financing the development of its products and research and development.

KWM acts on all three deals in Santos’ $3.5bn capital raising

King & Wood Mallesons has acted on Santos Limited’s $3.5bn capital raising, advising on three distinct initiatives; a new equity raising, private placement and sale stake.

Partner Shannon Finch and her team advised the joint lead managers Citigroup Global Markets Australia Pty Limited, Deutsche Bank AG, Sydney Branch and UBS AG, Australia Branch on a $2.5bn pro rata accelerated renounceable entitlement offer (with retail rights trading) (PAITREO) of new ordinary shares to existing shareholders.

King & Wood Mallesons advises Wen’s Foodstuffs on its successful listing on the GEM board

King & Wood Mallesons (KWM) has advised Guangdong Wen's Foodstuffs Group Co., Ltd. (WFG) on its successful listing on the GEM board of Shenzhen Stock Exchange (SZSE) (Stock Code: 300498), through the stock swap absorption merger of Dahuanong (Stock Code: 300186). The listing saw WFG issue a total of more than 3.625 billion shares, among which of more than 435.2 million shares are public offerings. The opening price soared from its offering price of RMB16.5 yuan per share to RMB71.98 yuan, rising 345.69%, closed at RMB55.31 per share.

King & Wood Mallesons advises CICC on its listing on the Main Board of the Hong Kong Stock Exchange

King & Wood Mallesons (KWM) has advised China International Capital Corporation Limited (CICC) on its successful listing on the Main Board of the Hong Kong Stock Exchange on 9 November 2015. CICC issued a total of 611 million H shares (before issuing further H shares pursuant to an overallotment option), with an offer price of HK$10.28 per share. In its listing, CICC raised approximately HK$5.485 billion.

Macfarlanes advises Regional REIT on its IPO

Macfarlanes has advised newly-formed real estate investment trust Regional REIT on its listing on London Stock Exchange’s main market with an initial market capitalisation of £274m.

Regional REIT was created by the merger of two existing funds and will be managed by Toscafund (investment manager) and London & Scottish (asset manager).  It currently owns around 130 commercial properties in cities around the UK and will invest predominantly in the office and industrial sectors outside of London.

Hengeler Mueller advises TUI on IPO of Hapag-Lloyd

Hapag-Lloyd AG (“Hapag-Lloyd”), a leading global container liner shipping company, completed its IPO with the initial listing of its shares on the Frankfurt Stock Exchange on 6 November 2015. Hapag-Lloyd generated proceeds of about €265m by placing 13,228,677 newly issued shares. TUI AG (“TUI”) placed about 2 million shares from its indirect holding in Hapag-Lloyd as an over-allotment which will generate proceeds of about €40m if the greenshoe option is fully exercised.
