Wragge Lawrence Graham & Co's Investment Funds team acts on £183 million secondary issue

Wragge Lawrence Graham & Co's (WLG) Investment Funds team has advised Jefferies International Limited (Jefferies) on the secondary issue of C Shares by VPC Specialty Lending Investments PLC (VPC Specialty Lending) which raised £183 million.

The secondary issue was by way of an institutional placing, offer for subscription and intermediaries offer. The C Shares were admitted to the premium listing segment of the Official List and to trading on the London Stock Exchange's main market for listed securities.

Freshfields advises IMAX China on US$248m IPO

Freshfields Bruckhaus Deringer has advised IMAX China Holding Limited (IMAX China) on its IPO.

The IPO, valued at US$248m, commenced trading on the Hong Kong stock exchange on 8 October.

IMAX China is a subsidiary of NYSE-listed IMAX Corporation, and was established to oversee the expansion of IMAX’s business throughout China.

Freshfields advised on both the Hong Kong and US aspects of the listing.

RAG Invests Into Perpetual Hybrid Convertible Bonds Issued by Siegfried

RAG-Stiftung Beteiligungsgesellschaft mbH based in Germany subscribed the CHF 60,000,000 2.5% Hybrid Convertible Bonds issued by Siegfried Holding AG in order to finance Siegfried's acquisition of significant elements of BASF's pharmaceutical supply business.

The bond was issued on September 29, 2015, and entitles RAG-Stiftung Beteiligungsgesellschaft mbH to convert the amount within five years into Siegfried Holding AG shares, corresponding to a stake in Siegfried of about 7%.

Schoenherr advises underwriters alongside Covington & Burling on Nabriva Therapeutics' IPO in the USA

Schoenherr advised the underwriters Leerink Partners LLC, RBC Capital Markets LLC, Needham & Company and Wedbush PacGrow as to Austrian law on Vienna-based Nabriva Therapeutics AG's initial public offering in the United States and its listing on the NASDAQ Global Market. The transaction closed on 30 September 2015, with the IPO's underwriters having fully exercised their over-allotment option.

Hengeler Mueller advises Scout24 on IPO

Scout24 AG (Scout24) successfully completed its IPO with the initial listing of its shares on the Frankfurt Stock Exchange on 1 October 2015. The final offer price was set at €30 per share, the total offer volume amounting to approximately €1,159m, assuming the full exercise of the greenshoe option. A total of 38,640,000 shares were placed in the context of the offering. Thereof, 7,600,000 shares result from a capital increase, corresponding to €228 million gross proceeds for Scout24.

King & Wood Mallesons has acted on Origin Energy Limited’s pro rata accelerated renounceable entitlement offer (with retail rights trading) (PAITREO) of new ordinary shares to existing shareholders, advising the lead manager Macquarie Capital (Australia) Limited.

The offer consists of an accelerated institutional rights issue and a retail rights issue (including retail rights trading) to raise approximately $2.5 billion.
