Linklaters advises on Cheung Kong and Hutchison Whampoa’s billion merger and spin off

Linklaters are advising the banks on the recently announced merger of Cheung Kong Holdings Ltd. (“Cheung Kong”) and Hutchison Whampoa Ltd. (“Hutchison Whampoa”) and the subsequent spin off and listing of their property businesses. The deal includes a 6% increase of Hutchison Whampoa’s stake in Husky Energy Inc. The Linklaters team is being led by partner Craig Dally in the Hong Kong office, together with Hong Kong partner Rob Cleaver, US partner, Pam Shores and Managing Associate Alex Bidlake.

Vigmed completes rights issue

Vigmed Holding AB has completed a rights issue raising approximately SEK 56 million.

Vigmed is a medical technology company that develops, produces and sells products for elimination of needlestick injuries in the health care sector primarily for the European market. Vigmed is headquartered in Helsingborg, Sweden, and is listed on NASDAQ First North.

Vigmed was advised by Mannheimer Swartling in connection with the rights issue. The firm’s team was led by Anders Lückander, primarily assisted by Åsa Hansdotter and Gustav Engvall.

Clifford Chance advises Shangri-La Asia on HK$4.9 billion rights issue

Shangri-La announced a 1 for 7 rights issue raising approximately HK$4.9 billion (approx. US$628 million). Shangri-La is listed on the Hong Kong Stock Exchange and has a secondary listing in Singapore. The rights issue was underwritten by the Kuok Group.  Applications from existing shareholders were received for approximately 75% of the shares on offer with the balance being taken up by the Kuok Group.

Deacons advises Huatai Financial Holdings on HK$540 million of top-up shares

Deacons recently advised Huatai Financial Holdings (Hong Kong) Limited, acting as the placing agent, on the top-up placing of shares of AVIC International Holding (HK) Limited raising up to approximately HK$540 million.

AVIC International Holding (HK) is a Hong Kong unit of state-backed aviation equipment maker, the Aviation Industry Corporation of China.

Deacons partner Sabrina Fung advised on the matter, supported by associate Catherine Kwan.

Freshfields Bruckhaus Deringer acted as legal counsel for AVIC.

Deacons advises Haitong International Capital in relation to SiS Mobile Holdings’ spin-off and IPO

Deacons recently acted for the sole sponsor Haitong International Capital and the underwriters in relation to the spin-off and separate listing of SiS Mobile Holdings on the Main Board of the Hong Kong Stock Exchange by way of distribution in specie and global offering.

BKL advises Cheil Industries on its IPO and listing on the KRX

Samsung Everland) and the selling shareholders, on Cheil Industries’ initial public offering and listing on the KRX KOSPI Market of the Korea Exchange (the “IPO”). Cheil Industries holds a central position in the overall organizational structure of the Samsung Group and is engaged in the fashion, construction, food services and resort business.
