Paul Hastings Advises China Huarong on RMB 14.5 Billion Share Issuance

Paul Hastings LLP, a leading global law firm, announced today that the firm advised China Huarong Asset Management Co., Ltd. ( “China Huarong”) to issue new shares to a consortium of strategic investors including China Life Insurance (Group) Company, Warburg Pincus, CITIC Securities International Company Limited, Khazanah Nasional Berhad, China International Capital Corporation Limited, China National Cereals, Oils and Foodstuffs Corporation (COFCO), Fosun International Ltd. and Goldman Sachs.

North Atlantic Drilling and Seadrill - land rig acquisition and share subscription agreement with Rosnef

Slaughter and May is advising North Atlantic Drilling Ltd. (NADL) and Seadrill Limited (Seadrill) on arrangements under which NADL will acquire a fleet of approximately 150 land drilling rigs from Rosneft in return for an issue of NADL shares and Rosneft will subscribe for additional NADL shares. As a result, Rosneft will acquire a 30% interest in NADL, worth approximately $1.25 billion. Under the arrangements, which were announced on 22 August 2014, Rosneft will also award new 5 year drilling contracts for the land rigs being acquired.

TAL Education Group, a US-listed after-school tutoring services provider in China, has completed a US$200 million issuance of convertible senior notes due 2019. Latham & Watkins represented the joint bookrunners, Deutsche Bank Securities Inc., J.P. Morgan Securities LLC and Morgan Stanley & Co. International plc, as product counsel on the issuance.

Simpson Thacher recently represented The Dai-ichi Life Insurance Company, Limited (“Dai-ichi Life”) in connection with its offering of an aggregate of 184.9 million shares of common stock, which included an international offering to institutional investors pursuant to Rule 144A and Regulation S. The offering raised approximately ¥264 billion, which Dai-ichi Life plans to use to fund, in part, its approximately $5.7 billion cash acquisition of Protective Life Corporation, a U.S. life insurance group.

Morgan Securities LLC, Credit Suisse Securities (USA) LLC, Stifel, Nicolaus & Company, Incorporated and Piper Jaffray & Co. as the underwriters in the initial public offering by iDreamSky Technology Limited (iDreamSky) of 7,700,000 American depositary shares (ADSs), each representing four Class A ordinary shares of iDreamSky. iDreamSky has granted the underwriters an option to purchase up to an additional 1,155,000 ADSs. The ADSs are listed on the NASDAQ Global Select Market under the symbol “DSKY.”

DLA Piper was the principal legal advisor on the largest listed investment company (LIC) initial public offering (IPO) to list on the Australian Securities Exchange (ASX) post global financial crisis (GFC).

The new listed investment company (LIC) QV Equities Limited commenced trading on the ASX today, 22 August 2014. The Initial Public Offering (IPO) has initially raised AU$185 million of fully paid shares plus the issue of 185 million exchange traded free options which on exercising would double funds raised to a total of AU$370 million.
