ServiceNow, Inc. $575 Million Convertible Senior Notes Offering

Davis Polk advised Morgan Stanley & Co. LLC and J.P. Morgan Securities LLC as joint book-running managers and representatives of the initial purchasers in connection with a Rule 144A offering by ServiceNow, Inc. of $575 million aggregate principal amount of 0% convertible senior notes due 2018, which included $75 million aggregate principal amount of notes from the full exercise of the initial purchasers’ over-allotment option. In addition, Davis Polk advised Morgan Stanley & Co.

Davis Polk Advises on US$133.5 Million Financing by Louis XIII Holdings Limited

Davis Polk advised Deutsche Bank AG, Hong Kong Branch as placing agent and settlement agent, and CLSA Limited as placing agent, of a placing of 89,242,500 new shares by Louis XIII Holdings Limited (Louis XIII) for a total consideration of US$94.77 million, as part of a financing round which also raised an additional US$38.7 million through the issue of convertible bonds by Louis XIII.

Davis Polk advised J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and Morgan Stanley & Co. LLC as representatives of the underwriters on the SEC-registered secondary offering of 9,947,821 shares of common stock of BankUnited, Inc. sold by investment funds affiliated with The Blackstone Group, The Carlyle Group, Centerbridge Partners, L.P. and WL Ross & Co. LLC.  The shares of common stock sold in the offering include shares sold pursuant to the underwriters’ partially exercised option to purchase additional shares.

Vantiv, Inc. $400.2 Million Secondary Offering

Davis Polk advised Citigroup Global Markets Inc. as underwriter in connection with a $400.2 million SEC-registered secondary offering of 15,000,000 shares of Vantiv, Inc.’s Class A common stock by certain funds managed by Advent International Corporation. The Class A common stock is listed on the New York Stock Exchange under the symbol “VNTV.”  

Based in Cincinnati, Ohio, Vantiv is a leading, integrated payment processor differentiated by a single, proprietary technology platform.

Freshfields advises on US$496m China International Marine Containers H share placement

Freshfields Bruckhaus Deringer has advised Industrial and Commercial Bank of China International, in its capacity as financial adviser to China International Marine Containers (CIMC), on a US$496m placement of H shares.

The H shares were issued to COSCO Container, Hony Capital and a special purpose vehicle formed by CIMC’s senior managers and employees.

The Freshfields team was led by Beijing corporate partner Richard Wang.

Freshfields advises China Everbright Bank on US$3bn IPO

Freshfields Bruckhaus Deringer has advised China Everbright Bank on its US$3bn H-share IPO on the Hong Kong Stock Exchange, which took place today and is the largest IPO in Hong Kong in 2013.

China Everbright Bank is a state-owned commercial bank headquartered in Beijing. The bank listed its A shares on the Shanghai Stock Exchange in 2010.

Freshfields advised China Everbright Bank on both the United States and Hong Kong law aspects of the listing.

Shearman & Sterling Advises Blue Solutions on its IPO

Shearman & Sterling advised Blue Solutions S.A., a subsidiary of Bolloré S.A. specializing in electricity storage technology, on its initial public offering on the regulated market of NYSE Euronext Paris (Segment B). The offering consisted of an open price offering (offre à prix ouvert) in France and a global placement for institutional investors in France and abroad of 2,883,832 existing ordinary shares sold by Bolloré S.A. and Bolloré Participations S.A., representing approximately 10% of the share capital of Blue Solutions S.A.

Sidley Acts on significant Philippines IPO

Sidley Austin has advised on Robinsons Retail Holdings, Inc.’s initial public offering (“IPO”) on the Philippines Stock Exchange. The IPO, which raised approximately US$622 million, is thought to be one of the most significant IPOs to be listed in the Philippines. Sidley acted for the underwriters, which included joint global coordinators Deutsche Bank, J.P. Morgan and UBS AG in the offering. Partner Alex Lloyd in Hong Kong led the Sidley team with support from associate Dorothy Dizon and legal assistants Jacqueline Lam and Eleni Panagios from the Hong Kong office.
