The Firm represented NXP Semiconductors N.V. (“NXP”) in connection with a $941 million registered secondary offering of 25,000,000 common shares by certain of its principal stockholders, including affiliates of funds managed or advised by AlpInvest Partners B.V., Apax Partners LLP, Bain Capital Partners, LLC, Kohlberg Kravis Roberts & Co. L.P. and Silver Lake Technology Management, LLC. The offering closed on September 18, 2013.

Shearman & Sterling Advises Volaris on Its Initial Public Offering

Shearman & Sterling represented Controladora Vuela Compañía de Aviación, S.A.B. de C.V. (“Volaris”) and certain selling shareholders of Volaris in its initial public offering of 260,439,380 Ordinary Participation Certificates (Certificados de Participación Ordinarios) in the form of American Depositary Shares in the United States, listed on the New York Stock Exchange, and other countries outside of Mexico.

Herbert Smith Freehills advised on China Merchants Bank $1 billion rights shares offering in Hong Kong

Herbert Smith Freehills has advised China Merchants Bank on its 680,423,172 H-rights shares issuance which raised approximately US$1 billion in Hong Kong. The bank's latest H-rights  offering follows its  Shanghai Stock Exchange listing of 2,962,813,544 A-rights shares in September, which raised approximately US$4.5 billion.

Paul Hastings Represents Underwriters in US$400 Million Initial Public Offering of Volaris

New York, NY – Paul Hastings LLP, a leading global law firm, represented Deutsche Bank, Morgan Stanley and UBS as the lead underwriters in connection with the initial public offering of Mexican low-cost airline Controladora Vuela Compañía de Aviación, S.A.B. de C.V. (“Volaris”). The offering involved an issuance of Series A shares in Mexico which were listed on the Mexican Stock Exchange and an issuance of Ordinary Participation Certificates in the form of American Depositary Shares in the U.S.

GE Money Bank and GE Capital Swiss Funding - proposed initial public offering of the majority of GE Money Bank's shares

Slaughter and May is advising GE Money Bank ('GEMB'), a leading Swiss consumer finance provider, and GE Capital Swiss Funding AG, the sole shareholder of GEMB and part of the GE group, on the proposed initial public offering of the majority of GEMB's shares.
 
Application will be made for all of GEMB's shares to be listed in accordance with the main standard on the SIX Swiss Exchange. The proposed IPO is expected to take place in the fourth quarter of 2013, subject to market conditions.
 

Pinsent Masons advises Redefine International PLC on dual listing

International law firm Pinsent Masons has advised property investment company Redefine International on its dual-listing on the Johannesburg Stock Exchange (JSE).

A London Stock Exchange (LSE) listed company, Redefine will become dual-listed in London and Johannesburg which is expected to complete on 28 October.

The secondary listing comes as Redefine intends, as previously announced, to convert to a UK Real Estate Investment Trust (REIT) following the amendment of the rules earlier in the year for conversion of real estate investment vehicles.

Corsair Capital and Centerbridge Partners - pre-IPO deal with RBSG in relation to Williams & Glyn's

Slaughter and May is advising global financial service specialists Corsair Capital and Centerbridge Partners, who are leading a consortium of investors, on a £600 million pre Initial Public Offering ('IPO') investment into the Williams & Glyn's business which centres around 314 bank branches in the UK.

In addition to Corsair and Centerbridge, the consortium of investors includes the Church Commissioners for England and RIT Capital Partners plc.
