Ashurst advises Fusion IP on its £20 million placing

Ashurst advised Fusion IP plc on its placing of shares with existing and new institutional shareholders raising £20 million. Fusion IP plc intends to use the additional funding (a) to enter into new agreements with additional universities in order to access additional world class IP, (b) to invest further in its key portfolio companies and (c) to expand its portfolio of companies out of the extended University pipeline.

The Ashurst team was led by corporate finance partner Simon Beddow, assisted by senior associate Karin Kirschner and trainee solicitor Sam Outtridge.

Eversheds assisted IP-Only Telecommunication AB in relation to a share issue

Eversheds has assisted IP-Only Telecommunication AB in relation to a pre-emptive share issue aiming at repaying the company’s convertible debt to its convertible holders.

In total, 183,936,020 new shares have been issued, of which 1,862,450 have been paid in cash, meaning that the company has received SEK 1,862,450 as working capital. The share issue was registered with the Swedish Companies Registration Office on 2 April 2013.

Ashurst advises St Barbara on its US$250m capital raising

Ashurst has advised St Barbara Limited (St Barbara) on its US$250 million capital raising  by way of a note issue under United States Rule 144A and Reg S.

The offering consists of US$250 million senior secured notes due 15 April 2018, issued by St Barbara and secured by St Barbara's assets.  The security does not include the assets of the St Barbara group's Pacific operations.

LG advises on Dolphin Capital Investors' €50m convertible bond issue

The investment funds team at Lawrence Graham LLP ("LG"), the international business law firm, has advised existing client Dolphin Capital Investors Limited ("Dolphin") on the issue of €50 million of Euro convertible bonds.

The bonds have a five-year term with a 5.50% coupon per annum and, in due course, can be converted into Dolphin shares at an initial conversion price of €0.5737 per share. All of the bonds have been settled through the US DTC settlement system.

The LG team advising Dolphin was lead by corporate partner John Reed.

Freshfields advises CVC and PT Matahari Department Stores Tbk on US$1.3bn Indonesian offering of shares

International law firm Freshfields Bruckhaus Deringer has advised CVC Capital Partners and Indonesian department store operator PT Matahari Department Stores Tbk on the US$1.3 billion global offering of approximately 40% of the issued share capital of Matahari Department Stores by CVC and PT Multipolar Tbk. The deal attracted 15 cornerstone investors, who together purchased approximately 33% of the offering.

International Personal Finance - secondary listing in Warsaw

Slaughter and May is advising International Personal Finance Plc ('IPF'), a leading international home credit business, on its secondary listing on the Warsaw Stock Exchange. IPF has a market capitalisation of £1bn and is a FTSE 250 company.

IPF's Polish business, with 821,000 customers, is its largest home credit operation and most profitable market.

CMS Cameron McKenna advised IPF on Polish law.

DLA Piper represented Fibra Inn, Mexico’s fourth publicly traded REIT, in a combined offering, valued at approximately US$318 million. The offering consisted of an initial public offering in Mexico and an international offering in the United States to qualified institutional buyers under Rule 144A under the US Securities Act and in other countries outside of Mexico and the United States to certain non-US persons pursuant to Regulation S under the US Securities Act.

DLA Piper advises Prysmian on its placement of €300 million equity-linked bonds

DLA Piper has advised Italian based company Prysmian S.p.A. on its placement of €300 million of 1.25% of equity-linked bonds to institutional investors, due in 2018. Prysmian is the world's leading producer of high-technology cables and systems for the energy and telecommunications industries.

Michael Bosco, partner and Head of Equity Capital Markets in Italy, led the DLA Piper team, and advised Prysmian on US law, while Finance and Projects partner Martin Pugsley advised on English law matters. Associate Vincenzo Armenio took the lead on documentation.
