Clifford Chance advises on £550m Crest Nicholson IPO

Clifford Chance has advised Barclays and HSBC, as joint sponsors, joint global coordinators and joint bookrunners, and Numis as lead manager, in connection with housebuilder Crest Nicholson Holdings plc's successful IPO and Premium Listing.

The transaction, the biggest IPO in the London market since Direct Line in October 2012, sees the company return to the public markets after being taken over by its lender in 2009 in the wake of the credit crisis. Gross proceeds raised were £247m, valuing the company at approximately £553m.

Filtrona - placing to support the acquisition of Contego Healthcare

Slaughter and May advised Filtrona plc ('Filtrona') on a placing of up to approximately 9.99% of its existing issued ordinary share capital (the 'Placing') which raised £142.7 million. The proceeds of the Placing will be used to support the funding of the acquisition of Contego Healthcare Limited by a subsidiary of Filtrona, FIL International Limited, for approximately £160 million (on a debt free-cash free basis).

Travers Smith acts on reverse takeover and placing by Biofutures International plc

Ashurst advises Nomura and AAA Securities on Indonesian IPO

Ashurst acted as international legal counsel to Nomura and AAA Securities in connection with the Indonesian initial public offering of PT Steel Pipe Industry of Indonesia Tbk, the largest steel pipe manufacturer in Indonesia by production capacity. The transaction was the year's first Indonesian IPO to be accompanied by an international offering.

The Ashurst deal team consisted of Hong Kong-based US partner Stuart Rubin, US counsel Ethan Perry and US associate Li Jiang. Partner Jonathan Parry and associate Simon Bullock provided advice on English law matters.

Ashurst advises William Hill on its approximately £375 million rights issue

Ashurst advised William Hill on its rights issue, announced on 1 March, which is being launched to fund the acquisition by William Hill of the remaining 29% of its online joint venture, William Hill Online, currently held by Playtech. At the time the joint venture was established, on which Ashurst advised in 2008, William Hill was granted a call option exercisable in either 2013 or 2015.
