Ashurst advises TerraCom Limited on its A$15 million equity raising

Ashurst has advised TerraCom Limited (TerraCom) in relation to an accelerated non-renounceable entitlement offer on a 3 for 13 basis at A$0.215 per share to raise up to A$15 million (Equity Raising).

The Rights Issue is fully underwritten by Gleneagle Securities (Aust) Pty Limited acting as the Lead Manager and Underwriter, and is fully sub-underwritten by Bonython Coal No 1 Pty Limited.

The proceeds from the funds raised will be used to strengthen TerraCom's financial position, including expediting the Blair Athol rail line construction.

Dentons advises BankDhofar on US$104 million rights issue

Dentons is pleased to have advised BankDhofar SAOG (BankDhofar) on its recent fully subscribed rights issue of OMR40 million (circa US$104 million). The transaction follows BankDhofar's fully subscribed rights issue in 2016, which Dentons also advised on.

Our clients were CCB International Capital Limited, Guotai Junan Securities (Hong Kong) Limited and Haitong International Securities Company Limited as the underwriters of the transaction. The total offering amount was HK$3.99 billion (excluding over-allotment).

The Firm represented Zhenro Properties Group Limited (“Zhenro Properties”) in connection with its initial public offering in Hong Kong and Regulation S offering of 1,000,000,000 shares (prior to the exercise of the overallotment option), which raised HK$3.99 billion (US$510.2 million) in gross proceeds. The ordinary shares of Zhenro Properties are listed on the Hong Kong Stock Exchange. CCB International acted as sole sponsor. CCB International and Guotai Junan International acted as joint coordinators.

Top-up Placing of Shares in China Maple Leaf Educational Systems Limited

Davis Polk advised the placing agent for the top-up placement of up to 110,000,000 shares in China Maple Leaf Educational Systems Limited for a total consideration of approximately HK$1 billion.

China Maple Leaf is incorporated in the Cayman Islands with its shares listed on The Stock Exchange of Hong Kong Limited. China Maple Leaf is principally engaged in the business of operating international schools in the PRC.

Bird & Bird advises Berenberg, Gossler & Co as sole global bookrunner on a secondary placing of shares for AIM listed XLMedia

International law firm Bird & Bird has advised Joh. Berenberg, Gossler & Co. KG as sole global bookrunner on a successful placing of new Ordinary Shares for XLMedia Plc, raising gross proceeds of £31.7 million. The placing was oversubscribed and was carried out by way of an accelerated bookbuild. The admission of the new Ordinary Shares to trading on AIM will take place on 22 January 2018.

XLMedia, a leading provider of digital performance marketing, will use the proceeds from the placing to fund future acquisition opportunities.

Linklaters advises on significant US$3 billion concurrent share placement and convertible bond issue for Country Garden Holdings

Global law firm Linklaters has successfully advised on a US$3 billion concurrent share placement and convertible bond issue for Country Garden Holdings, China’s largest real estate developer in terms of contracted sales in 2017 and ranks among the top three real estate enterprises globally. The deal is the largest equity deal in Asia this year so far. It is also the largest ex-Japan convertible bond issued to the international markets since 2007.
