The Fieldfisher Energy – Oil and Gas team has recently acted as English legal advisers for client JSC KazMunaiGas Exploration Production ("KMG EP") in respect of US$1.95 billion tender offer launched by the company on 8 December 2017 for its GDRs and shares, valued at US$5.6bn. The team also advised on its proposed delisting from the Official List of the London Stock Exchange and the Kazakhstan Stock Exchange.

China Futex is engaged in the research and development, manufacturing and sales of both single and double circular knitting machines.

Eversheds Sutherland has advised the Swedish FinTech company Betalo in connection with their raising of capital and initiation of a partnership with Nordea.

Betalo has developed an app for private individuals and companies to pay bills with debit and credit cards and send money within Sweden or abroad at significantly lower prices than traditional banks and exchange offices.

TLT toasts Conviviality acquisition of Central Convenience business

TLT has advised Conviviality Plc, the drinks and impulse sector's leading independent distributor and owner of Bargain Booze, on its acquisition of the Central Convenience business previously owned by subsidiary of Palmer & Harvey McLane, WS Retail Ltd (in administration).

The offer, which was accepted on 15 December and includes the purchase of 109 owned convenience stores and 18 franchised stores, was funded by a placing of eight million new ordinary shares that are expected to be admitted to trading on AIM on 19 December 2017.

Warwick Credit Union issues first ever AT1/MEI instruments

King & Wood Mallesons (KWM) has advised Warwick Credit Union (Warwick) on Australia’s first ever issuance of capital notes convertible to mutual equity interests (MEIs) by a mutually owned authorised deposit-taking institution (ADI).  The transaction is intended to support Warwick’s capital adequacy.
