Freshfields advises on Hebei Construction Group’s US$248m IPO in Hong Kong

Freshfields Bruckhaus Deringer (‘Freshfields’) has advised the underwriters, led by China International Capital Corporation and CMB International Capital Limited, in respect of the listing of Hebei Construction Group Corporation Limited (‘Hebei Construction Group’) on the Hong Kong Stock Exchange. Shares commenced trading on 15 December 2017.

Clifford Chance advises on Shandong International Trust's US$380 million IPO

Clifford Chance advised the joint sponsors and underwriters including CCB International, Haitong International and BOCOM International on Shandong International Trust's initial public offering of 647 million shares on the Hong Kong Stock Exchange for US$380 million (HK$2.95 billion). Shangdong International Trust is the first trust company from China to launch an IPO in Hong Kong.

The Firm represented Shandong International Trust Co., Ltd. (“Shandong International Trust”) in connection with its initial public offering in Hong Kong and Regulation S offering of 647,075,000 H shares (prior to the exercise of the overallotment option), which raised approximately HK$2.95 billion (US$378.3 million) in gross proceeds. The H shares of Shandong International Trust are listed on the Hong Kong Stock Exchange. CCB International, BOCOM International and Haitong acted as joint sponsors.

DLA Piper advises Credible on this year's largest tech IPO on ASX

DLA Piper has advised US fintech company Credible Labs Inc on its AU$300 million initial public offering (IPO) and listing on the ASX – the largest tech IPO of the year.

Founded in 2012 by Australian entrepreneur Stephen Dash, San Francisco-based Credible owns and operates an online marketplace that allows borrowers to compare real-time loan offers from lenders.

Slaughter and May advised Direct Line Insurance Group plc on the issue of RT1 notes and cash tender offer

Slaughter and May advised Direct Line Insurance Group plc on its issue of £350,000,000 Fixed Rate Reset Perpetual Restricted Tier 1 Contingent Convertible Notes (the RT1 Notes). The RT1 Notes are convertible into ordinary shares of Direct Line Insurance Group plc upon the occurrence of certain conversion trigger events. The Notes are listed on the Global Exchange Market of the Irish Stock Exchange. HSBC and NatWest Markets acted as joint structuring advisers and Deutsche Bank, HSBC and NatWest Markets acted as joint lead managers for the issuance.

DLA Piper advises SMIC on USD 972 million capital raising through new share placement and perpetual subordinated convertible securities issuance

DLA Piper has advised Semiconductor Manufacturing International Corporation, (SMIC) on its new share placement and perpetual subordinated convertible securities issuance, which raised approximately USD972 million (assuming all pre-emptive rights are exercised).

This is the highest amount raised since its initial public offering, the successful offering reflecting the strong confidence from domestic and global institutional investors. The deal was managed by JP Morgan, Deutsche Bank and Barclays.
