McDermott Advised Aumann AG on its Capital Increase

International law firm McDermott Will & Emery advised Aumann AG, one of the world's leading manufacturers of innovative specialized machinery and automated production lines with a focus on electro-mobility, in connection with a capital increase from authorized capital.  A total of 1,250,000 new shares were issued at a price of EUR 64.00 in a private placement by way of an accelerated bookbuilding process.  The subscription rights of the existing shareholders were excluded.

White & Case Advises Banks on US$420 Million Aircraft Financing for Spirit Airlines

Global law firm White & Case LLP has advised Morgan Stanley, Citigroup Global Markets, Inc., Goldman Sachs and Barclays, as underwriters, in the recent US$420 million offering of enhanced equipment trust certificates (EETC) by Spirit Airlines, the Florida-based ultra-low-cost carrier.

The proceeds will be used by the airline to meet its financing needs for 12 Airbus aircraft scheduled to be delivered over the next 12 months.

Latham Advises Siemens AG on the IPO of its Medical Technology Unit

Latham & Watkins is advising Siemens AG on the Initial Public Offering of its medical technology unit. The IPO is planned for the first half of 2018 on the Prime Standard of the Frankfurt Stock Exchange, and is expected to be one of the largest IPOs in Germany for many years.

Osborne Clarke advises Mirriad Advertising on £63.2 AIM market IPO

International legal practice Osborne Clarke has advised Mirriad Advertising plc,  a global technology company and developer of native in-video advertising, on its successful AIM market IPO.  Following admission, Mirriad will have a market capitalisation of approximately £63.2 million.

As part of the IPO process, joint bookrunners Numis Securities Limited and Baden Hill (a trading name of Northland Capital Partners Limited) raised £26.2 million of which £25.4 million is for the benefit of the Company.

Macfarlanes advises Regional REIT on secondary fundraise of up to £100m

Macfarlanes has advised main market listed commercial property fund Regional REIT on a secondary fundraise of up to £100m. Regional REIT intends to use the proceeds of the offering to, among other things, acquire two contracted property portfolios.

The Macfarlanes team for this matter was led by corporate and M&A senior counsel Mark Slade, with assistance from tax partner Jeremy Moncrieff and corporate and M&A solicitor Alex Critchley.

Osborne Clarke has advised Canaccord Genuity Limited, finnCap Ltd and Cenkos Securities plc on the successful £35 million AIM market secondary fundraise for Seeing Machines Limited, an industry leader in computer vision technologies which enable machines to see, understand and assist people.

The secondary fundraise was by way of a placing with institutional investors using an accelerated bookbuild and by direct subscription. In addition, the Company will provide an opportunity for certain existing shareholders to subscribe for further shares.

Norton Rose Fulbright has advised Greencoat UK Wind PLC (Greencoat UKW), the leading listed renewable infrastructure fund, in connection with a £340 million equity offering which forms part of Greencoat UKW’s new share issuance programme and the acquisitions in 2017 of eight wind farms:

    five wind farms (80% stake in Deeping St Nicholas – 16.4MW, Red House – 12.3MW, Glass Moor – 16.4MW, Red Tile – 24.6MW and Bicker Fen – 26.7MW) from EDF Energy Renewables for a total consideration of £98 million;
