White & Case Advises EN+ on IPO – Largest Russian IPO Globally Since 2012

White & Case LLP has advised EN+, a leading international vertically integrated aluminium and power producer with core assets located in Russia, on the offering of global depositary receipts admitted to trading on the London Stock Exchange and the Moscow Exchange.

The total size of the transaction, which is the largest Russian IPO globally since 2012, amounts to US$1.5 billion at the offer price, of which US$1 billion is primary proceeds and US$0.5 billion is a secondary component, excluding the over-allotment option.

Clayton Utz advises Canada's Kirkland Lake Gold Inc. on ASX debut

A Clayton Utz team has advised Toronto and New York stock exchange-listed Canadian gold producer Kirkland Lake Gold Inc. (Kirkland Lake Gold) on its listing on the Australian Stock Exchange (ASX) effective 30 November 2017 - the largest company by market capitalisation to list on the ASX in 2017.

 

Perth-based partner Brett Cohen and special counsel Liz Humphry led the firm's advisory team, which included lawyers Milana Drca and Georgia Denny. 

 

Shearman & Sterling Advises Underwriters on Follow-on Offering of Venator Materials

Shearman & Sterling advised the underwriters of Venator Materials’ follow-on offering of 21,764,800 ordinary shares at a public offering price of $22.50 per share. All of the ordinary shares were sold by Huntsman Corporation through its subsidiary, which received approximately $489.7 million in gross proceeds from the offering. The ordinary shares are listed on the New York Stock Exchange under the ticker symbol “VNTR.”

Clifford Chance advises Cromwell European REIT (CEREIT) with respect to its successful IPO

The Cromwell European Real Estate Investment Trust (CEREIT) successfully listed on the Singapore Exchange (SGX) on 30 November 2017. CEREIT is the first euro-denominated real estate investment trust (REIT) and the first REIT with a diversified pan-European portfolio that is listed on the Singapore Exchange. This transaction constitutes the largest REIT IPO in Asia since 2013 by market capitalisation. In order to create this portfolio, the IPO was preceded by several complex real estate transactions in Europe, which were concluded simultaneously and jointly with the IPO.

Global law firm White & Case LLP has advised the bank syndicate led by Citi, as global coordinator, and including Crédit Agricole CIB as joint lead manager and joint bookrunner, on the approximately €200 million issuance of bonds convertible into new shares and/or exchangeable for existing shares (OCEANE) by Maisons du Monde, a French furniture and home decor company listed on Euronext Paris.

Ashurst advises on IPO of Ten Lifestyle Group plc

Ashurst advised Jefferies International as nominated adviser and sole bookrunner on the AIM IPO of Ten Lifestyle Group plc (the "Company"), a technology-enabled lifestyle and travel platform providing trusted concierge services to the world's wealthy. 

The IPO comprised a placing of 13.4 million new ordinary shares and 10.6 million existing shares at 134 pence per share, raising total gross proceeds of £32.2 million.  The Company also raised an additional £7.6 million from the exercise of share options.

Morgan and China Renaissance, in connection with the initial public offering and listing on the New York Stock Exchange of American Depositary Shares (ADSs) of Jianpu Technology Inc. The offering of 22,500,000 ADSs, representing 56,250,000 Class A ordinary shares, raised US$167.4 million of gross proceeds to the company before exercise of the greenshoe.

Latest IPO Raises £45m For US Technology Firm Boku And Its Investors

Leading direct carrier billing company, Boku, has raised £45m on its London Stock Exchange IPO in a deal on which Irwin Mitchell advised the company’s broker, Peel Hunt.

This is the third IPO that Irwin Mitchell has acted on since the summer and follows Warehouse REIT’s £150m IPO and Destiny Pharma £65m IPO.
