Clifford Chance advises on Haier's perpetual securities and exchangeable bonds

Leading international law firm Clifford Chance advised on Haier Group's two high profile transactions in the debt capital markets. The first was for Well Hope Development Limited on the issuance of US$1 billion 3.875% senior guaranteed perpetual capital securities unconditionally and irrevocably guaranteed by Haier Group Corporation. The second was for Harvest International Company on the issuance of US$1.03 billion (HK$8 billion) zero coupon guaranteed exchangeable bonds due 2022 exchangeable into ordinary shares of Haier Electronics Group Co., Ltd.

Burges Salmon advises WH Ireland in connection with Wey Education PLC’s fundraise of £5m

Wey Education PLC (an AIM quoted company) has announced a firm placing to raise £5 million. Burges Salmon’s corporate team has advised WH Ireland (as nomad and broker) in connection with the placing.

Using state of the art digital technology, Wey Education operates two main divisions: (i) a non-selective fee paying secondary school specialising in online education; and (ii) a B2B operation serving other educational companies and schools.

Simpson Thacher Represents Underwriters in US$500 Million Subordinated Capital Securities Offering by Heungkuk Life Insurance

Simpson Thacher represented J.P. Morgan Securities plc and Nomura Financial Investment (Korea) Co., Ltd., as joint global coordinators and joint bookrunners, in connection with the offering of US$500 million Subordinated Capital Securities by Heungkuk Life Insurance Co., Ltd. The offering was conducted in reliance upon Regulation S under the Securities Act of 1933, as amended. The securities will pay a fixed rate of interest of 4.475% for the first five years subject to certain exceptions and the interest rate will be reset every five years unless the issuer redeems the securities.

Ashurst advises Clime Capital Limited on its convertible note capital raising

Ashurst has advised Clime Capital Limited (Clime Capital) on its A$21.4 million capital raising in order to further invest in securities on the Australian Stock Exchange (ASX), recognised international exchanges and selected unlisted investments.

The capital raising includes a non-renounceable entitlement offer and placement and involves the rarely used, listed redeemable convertible note instrument, which will increase Clime Capital's level of investments principally in listed securities. Sanlam Private Wealth (Sanlam) acted as the underwriter.

ECM experts advise Netwealth Group Limited on its successful A$879 million IPO

Herbert Smith Freehills has advised Netwealth Group Limited on its successful A$879 million initial public offering (IPO).

Netwealth Group commenced trading on the Australian Securities Exchange on 20 November 2017, under the ticker ‘NWL’. The listing was the second biggest by market capitalisation so far on ASX in 2017. NWL shares closed 44% up on the first day of trading.
