Hogan Lovells Advises Fibra Uno in US$700 Million Follow-on Equity Offering

International law firm Hogan Lovells represented Fibra Uno, the first and one of the largest real estate investment trusts in Mexico, in a US$700 million follow-on equity offering.

The offering was oversubscribed, and consisted of the sale of 419.75 million of Fibra Uno’s Real Estate Trust Certificates (which includes an overallotment option) for the price of 30.50 Mexican pesos per real estate trust certificate.

King & Wood Mallesons advises on PSBC’s overseas issuance of US$7.25 billion preference shares

On 21 September 2017, advised by King & Wood Mallesons (KWM), Postal Savings Bank of China Co., Ltd. (PSBC) issued US$7.25 billion 4.5% non-cumulative perpetual offshore preference shares, raising a total of RMB47.8 billion. The transaction is the world’s largest preference share offering made by a financial institution since 2010, and also the largest in Asia to date.

Osborne Clarke has advised Joh. Berenberg, Gossler & Co. KG, London branch and Grant Thornton UK LLP on the successful £163 million AIM market IPO of Alpha Financial Consulting Group plc, a leading global provider of specialist consultancy services to the asset and wealth management industry.

Berenberg is acting as global coordinator and broker and Grant Thornton is acting as nominated adviser.  Admission is expected to become effective on 11 October 2017.

Slaughter and May is advising Peel Hunt LLP, as sponsor and broker to Hansteen Holdings plc (“Hansteen”), the industrial property investor, in connection with Hansteen’s proposed return of capital of up to approximately £580 million to shareholders through a tender offer and subsequent repurchase of ordinary shares. The tender offer is subject to approval by Hansteen’s shareholders in general meeting and is expected to complete on 7 November 2017.

Simpson Thacher recently represented Tsubaki Nakashima Co., Ltd. in connection with its ¥39.8 billion (approximately US$353.2 million) global offering of shares, including an offering to institutional investors outside Japan pursuant to Rule 144A and Regulation S under the Securities Act. All of the shares in the global offering were sold by funds affiliated with The Carlyle Group.

Simpson Thacher recently represented Goldman Sachs, Daiwa Securities and Nomura Securities, the joint global coordinators of a ¥1.3 trillion (approximately US$11.6 billion) offering of shares of Japan Post Holdings Co., Ltd. (“JP Holdings”) by the Minister of Finance of Japan. The global offering included an international offering to institutional investors outside Japan in reliance on Rule 144A and Regulation S. The offering was one of the largest equity offerings globally to date this year.

Slaughter and May is advising Glenveagh Properties PLC (“Glenveagh”) on its intention to proceed with an initial public offering of its ordinary shares, as announced on 2 October 2017.  It is seeking a listing on the primary segment of the Irish Stock Exchange and on the standard segment of the London Stock Exchange.  Glenveagh is an Irish homebuilder with a principal focus on the Greater Dublin Area.  It is focused on developing starter, mid-size and executive and high-end homes (both houses and apartments), either for itself or in partnership with third parties.
