SBI Life Insurance IPO Marks India’s Largest IPO in Recent Years

In another landmark Asia capital markets transaction, Milbank, Tweed, Hadley & McCloy LLP advised the underwriters on a $1.3 billion successful initial public offering of 120 million equity shares of SBI Life Insurance, a subsidiary of the country's largest lender, State Bank of India, marking India’s first billion-dollar IPO since 2010, and first US$1 billion IPO in India in seven years. The shares were offered under Regulation S/Rule 144A.

White & Case Advises GIMA TT, I.M.A and Selling Shareholders on GIMA TT IPO

Global law firm White & Case LLP has advised GIMA TT S.p.A., its controlling shareholder I.M.A. S.p.A. and other selling shareholders on GIMA TT's initial public offering on the Milan Stock Exchange, in which approximately 35 percent of the company’s ordinary shares were sold for a total amount of approximately €385 million.

GIMA TT is a leading company in the design, manufacture and assembly of automatic open-architecture electronically-based machines for the packaging of tobacco products, and also provides after-sales support for these products.

Clifford Chance advises on US IPO and NASDAQ-listing of Secoo Holding Limited

Clifford Chance advised the underwriters on the US$110.5 million initial public offering and listing on The NASDAQ Global Market of American depositary shares of Secoo Holding Limited (NASDAQ: SECO). Secoo is Asia's largest online integrated upscale products and services platform as measured by gross merchandise value in 2016. The underwriters were led by Jefferies LLC, as the sole book-running manager. This is the first US IPO of a Chinese e-commerce company since Alibaba Group Holding's IPO in 2014.

DLA Piper advises Huarong Investment Stock Corporation Limited on HK$437 million investment

DLA Piper has advised Huarong Investment Stock Corporation Limited (Stock Code 2277) on its HK$437 million investment in Hong Kong Stock Exchange listed company Freeman Fintech Corporation Limited (Stock Code 279) in the form of convertible bonds. The secured convertible bonds have a four percent interest rate payable semi-annually to subscribers.

Clifford Chance advises on Postal Savings Bank of China's US$7.25 billion offering of AT1 preference shares

Leading international law firm Clifford Chance advised the underwriters on Postal Savings Bank of China Co., Ltd. (PSBC)'s US$7.25 billion offering of Basel III-compliant additional tier 1 preference shares. The underwriters were led by CICC, Goldman Sachs, J.P. Morgan, UBS, Morgan Stanley, Bank of America Merrill Lynch, ICBC (Asia), Haitong International, HSBC and DBS as joint global coordinators. This is the largest ever additional tier 1 capital issue out of Asia and also the largest of its kind globally since 2010.

Ashurst advises nib Holdings Limited on its 100% acquisition of Grand United Corporate Health Limited and complete capital raising

Ashurst has advised nib Holdings Limited (nib) on its agreement to acquire 100% of the shares of Grand United Corporate Health Limited (GU Health) from Australian Unity Limited (AU) for A$155.5 million.

GU Health is Australia’s only established specialist corporate group health insurer, servicing over 34,000 policyholders across more than 260 corporate clients. The business has operated as a wholly owned subsidiary of AU since 2005.
