EQT Partners to Acquire Certara for $850 Million

Simpson Thacher is representing EQT Partners in connection with its announced acquisition of Certara, the leading provider of technology driven decision support solutions for drug development, from Arsenal Capital Partners for $850 million. This is EQT’s second major U.S. healthcare acquisition – the first being the Press Ganey acquisition in August 2016, in which Simpson Thacher also advised EQT.

Global law firm White & Case LLP has advised HgCapital Renewable Power Partners and its Swedish wind farm investment vehicle Vasa Vind on an investment by APG in the 288MW Åskalen onshore wind power project, which is located in the central Sweden region of Jämtland.

Gide has advised on the 350-million-euro refinancing of a portfolio of 4 hotels including the Hôtel Hyatt Regency (formerly Concorde Lafayette), Hôtel du Louvre, Hôtel Martinez and Hôtel du Palais de la Méditerranée, managed by Hyatt and owned by the Constellation group.

Gide advised Société Générale and Natixis. Constellation was advised by De Pardieu Brocas Maffei.

Norton Rose Fulbright advises on acquisition and refinancing of the Matera II windfarm

Global law firm Norton Rose Fulbright has advised Renvico Italy Srl (Renvico) and Macquarie European Infrastructure Fund 4 (MEIF 4) on the acquisition and refinancing of the 29.7 MW Matera II windfarm from Italian renewable energy company Asja Ambiente SpA.

The transaction comprised the acquisition by Renvico of the entire share capital of Meltemi Energia Srl, an SPV, and the simultaneous limited recourse refinancing provided by Société Générale and UBI Banca to the project company.

US advises lenders on US$2.3bn financing for Southland repowering project

The US offices advised a consortium of lenders on an approximately US$2.3bn financing for the 1,394 MW Southland repowering project in Southern California sponsored by the AES Corporation. The financing consists of approximately US$1.48bn in senior secured notes due in 2040, a US$492m senior secured term loan due in 2027 and a US$300m senior secured letter of credit facility.

WFW advises Vortex on £337m refinancing of 365 MW UK solar PV portfolio

Watson Farley & Williams (“WFW”) has advised European renewables platform Vortex, which is managed by the private equity arm of EFG Hermes, on the £337m refinancing of a 365 MW portfolio comprising 24 operational PV solar farms. The lenders included Santander and RBS as lead arrangers as well as Allied Irish Bank, Banco Sabadell, Caixabank, Commonwealth Bank of Australia, ING and Natixis.

Vortex’s equity is jointly held in equal shares by EFG Hermes and Tenaga Nasional.

Norton Rose Fulbright advises on €360m refinancing of 101 MW solar portfolio in Italy

Global law firm Norton Rose Fulbright has advised the real estate investment fund Tages Helios, managed by Tages Capital SGR on the €360m refinancing of a 101 MW solar portfolio. Owned through eight SPVs, the portfolio of nine solar parks was purchased by Tages Helios in August 2016 and includes a 70 MW plant in Rovigo, one of the largest of its kind in Italy, as well as a 20 MW plant in the Campania Region and seven other smaller parks in Lazio, Puglia and Sicily.

Ince & Co acts for The Export-Import Bank of China in A380 aircraft financing

On June 15th our Aviation Finance Group successfully closed a major aviation financing representing The Export-Import Bank of China (CEXIM), a state-owned policy bank of the Chinese government. The transaction is a USD450M financing for Minsheng Financial Leasing (MSFL) as lessor of two A380-800 aircraft on finance lease to Korea’s Asiana Airlines.
