International law firm Hogan Lovells is advising Robertshaw, a global engineering and manufacturing company focused on controls and solutions for residential white goods and commercial appliances, in an agreement with Star Capital SGR and other shareholders to acquire CastFutura S.p.A., a leading provider of combustion, safety and ignition products for cooking and heating applications.

Terms of the transaction were not disclosed.  Closing of the transaction is subject to customary conditions precedent including antitrust clearance.

With the assistance of King & Wood Mallesons, Best Food Holding Company Limited (“Best Food”, 01488.HK), a Hony Capital’s listed portfolio company, has obtained the clearance by the Hong Kong Stock Exchange (“HKEx”) for its extreme very substantial acquisition (“EVSA”) of equity interest in Beijing New Spicy Way Catering Management Ltd. (“New Spicy Way”).

Allen & Overy has advised the BMW Group on its contract extension for the joint venture BMW Brilliance Automotive Ltd (BBA) and its intention to increase its stake in BBA from 50 percent to 75 percent. BBA is a joint venture between BMW and Brilliance China Automotive Holdings Ltd (CBA). The transaction is subject to the approval of the relevant authorities and the consent of the CBA Shareholders’ Meeting.

The joint venture also announced an investment of more than three billion euros in new and existing plant structures in Shenyang over the coming years.

Burges Salmon advises Artemis Technologies on Belfast facility for first zero-emissions automated sailing vessel.

Burges Salmon’s team of cleantech lawyers have advised Artemis Technologies on a new facility in Belfast Harbour, which will house the engineering team designing the world’s first zero-emissions automated catamaran. 

Cooley advised digital communications platform SendGrid on its agreement to sell to Twilio in an all-stock transaction valued at approximately $2 billion. The transaction is expected to close in the first half of 2019. Cooley partners Barbara Borden, Michael Platt and Matthew Dubofsky led the team advising SendGrid on the transaction.
