RELX Group Completes Corporate Structure Simplification

Simpson Thacher represented RELX Group plc (“RELX Group”) in the simplification of its corporate structure under which its previous dual parent company structure has been simplified to a single parent company, RELX PLC. In particular, Simpson Thacher represented RELX Group in its registered share exchange with respect to RELX PLC Shares (represented by RELX PLC ADSs) issued to RELX NV Shareholders and RELX NV ADS holders in exchange for their RELX NV Shares and RELX NV ADSs, respectively.

Australia’s leading independent law firm, Corrs Chambers Westgarth, has advised Home4Life Limited on its successful selection by the NSW Government to finance, develop and provide specialist disability accommodation services in 69 new group homes for 330 residents in the state’s Hunter region.

Home4Life (a joint venture by BlueCHP Limited and Compass Housing Services Co Limited) will work with specialist independent living providers who will provide care and management of specialist disability services.

DLA Piper advises LaSalle Hotel Properties in merger with Pebblebrook Hotel Trust for estimated US$5.2 billion

DLA Piper represented LaSalle Hotel Properties (NYSE: LHO) in a definitive merger agreement under which Pebblebrook Hotel Trust (NYSE: PEB) will acquire 100% of LaSalle's outstanding common shares. The transaction, which is subject to customary closing conditions, including approval by LaSalle shareholders and Pebblebrook shareholders, is expected to close in the fourth quarter of 2018.

The transaction is valued at approximately US$5.2 billion.

Corrs advises Victorian Government on Victorian Renewable Energy Auction

Australia’s leading independent law firm, Corrs Chambers Westgarth, has advised the State of Victoria on the Victorian Renewable Energy Auction, which will deliver 928MW of new renewable generation in Victoria.

Six projects were successful in the auction, with each committing to deliver new wind or solar generation in Victoria, ranging from 34 to 336 megawatts. Together, the projects are expected to produce electricity for over 640,000 households, while investing in regional Victoria and creating more than 900 jobs.

Blair Installations Limited, a Brighton-based electrical contractor which provided services to a number of private and public sector organisations in the Brighton and Sussex area, has been bought in a pre-pack sale after it went into Administration in August following a challenging trading period for the company.
