White & Case Advises Saudi Real Estate Refinance Company on Establishment of Inaugural Sukuk Issuance Programme

Global law firm White & Case LLP has advised the Saudi Real Estate Refinance Company (SRC) on the establishment of its inaugural domestic SAR 11 billion Sukuk Issuance Programme, and the issuance thereunder of SAR 750 million across four Series.

WFW advises shareholders of UNITANK on sale of UNITANK to DIF and ASI

Watson Farley & Williams (“WFW”) has advised the shareholders of UNITANK Holding GmbH & Co. KG (“UNITANK”) in connection with the signing of an agreement on the sale of 100% of the shares in UNITANK to DIF’s (“DIF”) Core Infrastructure Fund I and Aberdeen Standard Investments’ (“ASI”) SL Capital Infrastructure II SCSp, with ASI and DIF each acquiring a 50% stake.

 

The acquisition is subject to European Commission merger clearance.

 

Charles Russell Speechlys advises Derwent London on £196m building contract with Laing O’Rourke

Charles Russell Speechlys’ construction team has advised Derwent London on its £196m building contract with Laing O’Rourke for the development on top of Tottenham Court Road tube station.

The development, the biggest building contract Derwent London has placed to date, will comprise offices, retail units and a brand new theatre in a 285,000 sq. ft. development on the corner of Oxford Street and Charing Cross Road, sitting above the new Crossrail station at Tottenham Court Road.

KKR to Acquire Exact Software From Apax Partners

Paul, Weiss advised funds managed by KKR on an agreement in principle to acquire Exact Software, a leading provider of business and accounting software in the Benelux region, from funds advised by Apax Partners. Exact Software will now consult with its works council. The transaction is subject to ordinary conditions to closing.

The Paul, Weiss team included corporate partner Alvaro Membrillera.

Norton Rose Fulbright advises Assoufid Properties Development S.A. on the negotiation of hotel contracts with Marriott International Group

Global law firm Norton Rose Fulbright has advised Assoufid Properties Development S.A., housing promotion group based in Morocco, on the negotiation of hotel contracts with Marriott Group for the creation of the St Regis Marrakech Resort.

The hotel will comprise 80 rooms and villas, a spa, a swimming-pool and various restaurants. It will be built by United Real Estate Company. Opening is planned in 2024.

Matheson Advises on the First Digital Platform for the Issuance of Asset-Backed Commercial Paper

Matheson recently advised Landesbank Baden-Wurttemberg (LBBW) on the creation of the first digital platform for the issuance of commercial paper.

The Weinberg Capital programme, an asset-backed commercial paper (ABCP) programme sponsored by LBBW, was amended to enable the Irish conduit issuer to create and issue commercial paper using distributed ledger technology (DLT) based on the Corda platform.  The commercial paper is governed by Irish law.

Gide, counsel to Swiss Life Asset Managers on one of the largest real estate transactions in Paris: the acquisition of 72% of Terreïs' assets

Gide has advised Swiss Life Asset Managers on concluding an agreement for the acquisition from listed property company Terreis of a portfolio of 28 office assets in prime locations in Paris, for an overall amount of 1.7 billion euros.

Located within Paris' central business district, these Haussmann-style buildings are located primarily in the capital's 1st, 2nd, 8th, 9th and 10th arrondissements, and will be acquired using real estate funds managed by the Swiss Life AM entities in Switzerland, France, Germany and Luxembourg.

ADVENTUS ZINC ENTERS INTO HEADS OF AGREEMENT TO VEND IRISH EXPLORATION PROJECTS TO BMEX LIMITED IN RETURN FOR SHARES

On February 7, 2017, Adventus Zinc Corporation (TSXV: ADZN) (OTCQX: ADVZF) announced that it had entered into a heads of agreement to vend its Lismore, Fermoy, Millstreet and Charleville exploration projects in Ireland to the privately-owned Australian exploration company BMEx Limited in return for shares in BMEx.

The transaction is to be formalized in a share sale and purchase agreement between the parties, whereby BMEx will acquire shares of a subsidiary company owned by Adventus. Adventus will retain its Rathkeale and Kingscourt exploration project interests in Ireland.

We are representing Miss Porter’s School, a Connecticut private college preparatory school for girls, in its negotiations of a consignment agreement for the first-ever all-women artist benefit auction at Sotheby’s, titled By Women, For Tomorrow’s Women. The auction will be both live and online, and the live auction is being held on March 1, 2019.

By Women, For Tomorrow’s Women is supported by Oprah Winfrey and Agnes Gund as Honorary Co-Chairs, with proceeds from the auction to go to financial aid for Miss Porter’s.
