Clifford Chance advises Japanese shipowner MOL on long-term contract for pioneering LNG bunker vessel

Leading international law firm Clifford Chance advised Japanese shipowner Mitsui O.S.K Lines (MOL) on the tender process to provide a pioneering Liquefied Natural Gas bunker vessel (LNGBV) on long-term charter contract to Total Marine Fuels Global Solutions. This is the first LNGBV of this scale globally at 18,600 m³ to be built in China and delivered in 2020. The vessel will operate in Northern Europe and will be the first ever LNGBV capable of supplying large quantities of LNG in one single bunkering operation.

Macfarlanes advises Hogg Robinson on recommended offer and simultaneous disposal of Fraedom division

Macfarlanes has advised leading global B2B services company Hogg Robinson on a recommended offer by GBT, which trades as American Express Global Business Travel, for Hogg Robinson. The firm has also advised on the simultaneous class 1 disposal of Hogg Robinson’s Software-as-a-Service technology company Fraedom to Visa for approximately £140 million.

Watson Farley Williams LLP (“WFW”) advised NYK Nippon Yusen Kabushiki Kaisha  (”NYK”) on the execution on 26 January 2018 of its long-term charter contract with EDF LNG Shipping, a subsidiary of the electricity major, Electricité de France (“EDF”). The contract is for the chartering of a newly built liquefied natural gas (LNG) carrier for seven years, with optional extension periods for up to thirteen additional years.

International law firm Bird & Bird has advised Speedcast International Limited (ASX: SDA) on a 10 year agreement valued at up to A$184 million to supply managed satellite services to NBN Co Limited (nbn). It also advised Speedcast on the agreements with Gilat Satellite Networks (NASDAQ:GILT) to supply the underlying platform.

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has advised the Egyptian Refining Company (Takrir) S.A.E. (‘ERC’), the company behind the development of Egypt’s largest oil refinery, on the settlement of a deal with the construction joint-venture working on the refinery that will fund a series of delays to the project and allow construction to move forwards. The construction joint-venture comprises of GS Engineering & Construction Corporation and Mitsui & Co., Ltd.

G+T advises LifeHealthcare on $211 million scheme of arrangement with Pacific Equity Partners

Gilbert + Tobin is pleased to announce that it is advising LifeHealthcare Group Limited (LifeHealthcare) on its scheme of arrangement with Pacific Equity Partners (PEP).

LifeHealthcare and Pacific Health Supplies BidCo Pty Limited, an entity wholly-owned by funds advised by PEP, today announced that they have entered into a binding scheme implementation deed. If implemented, the transaction will result in PEP acquiring all of the shares in LifeHealthcare for $3.75 per share, a 46 % premium to the last closing price of LifeHealthcare shares on 2 February 2018.
