Osborne Clarke advises Legal & General on contract for Brighton’s first Build to Rent Scheme

International legal practice Osborne Clarke has advised Legal & General on contracts to acquire land in the centre of Brighton to deliver the City’s first ever Build to Rent (BTR) development. This latest acquisition represents the seventh UK city to which it will bring its new rental offer.

G+T advises LifeHealthcare on $211 million scheme of arrangement with Pacific Equity Partners

Gilbert + Tobin is pleased to announce that it is advising LifeHealthcare Group Limited (LifeHealthcare) on its scheme of arrangement with Pacific Equity Partners (PEP).

LifeHealthcare and Pacific Health Supplies BidCo Pty Limited, an entity wholly-owned by funds advised by PEP, today announced that they have entered into a binding scheme implementation deed. If implemented, the transaction will result in PEP acquiring all of the shares in LifeHealthcare for $3.75 per share, a 46 % premium to the last closing price of LifeHealthcare shares on 2 February 2018.

Schulte Represents Fir Tree in Securing Board Seat at Ultra Petroleum

Schulte represented hedge fund manager Fir Tree Partners in connection with entering into a Cooperation Agreement and securing a Board seat at Ultra Petroleum Corp. Fir Tree’s Evan Lederman was named a new director of the board, and Fir Tree will work with Ultra Petroleum to find a replacement for its chairman and CEO, who has stepped down. Fir Tree owns about 20 percent of stock in Ultra Petroleum, a Houston-based oil and gas exploration and production company focused on developing its natural gas reserves in the Green River Basin of Wyoming.

Ince & Co France advises EDF on the chartering of a LNG carrier with NYK

EDF LNG Shipping, a subsidiary of EDF group, signed a long term charter contract with the Japanese shipowner NYK on January 26th 2018. The vessel, with a capacity of 174,000 cbm, will be built by the shipyard Hyundai Heavy Industries with delivery expected by spring 2020.

Ince & Co supported EDF LNG Shipping in the negotiation and drafting of the time charter contract providing for an initial charter period of seven years which can be further extended to twenty years.

Dentons advises Rafako on a contract to build two power units in Indonesia

Dentons supported Polish power contractor Rafako in a tender procedure and contract to build two coal-fired power units on the Indonesian island of Lombok. The contract, signed late in December 2017, is worth some EU200 million.

Rafako was part of aconsortium, led by Indonesia-based PT. Rekayasa Industri, which was selected as the winner of the tender. The contract calls for the completion of Unit I of the power plant within 36 months and Unit II within 39 months. Rafako will receive approximately 35 percent of the contract value.
