After years of controversy surrounding the Large Transportation Contract concluded in 2003, the German state of Baden-Württemberg and DB Regio AG have reached a settlement agreement. The compensation under the contract with a total volume of some EUR 6 billion, a term of 13 years and covering 40 million train kilometers of annual operations had been disputed. For this reason, the state of Baden-Württemberg had withheld about Euro 135 million from 2012.

Gide advised the French State on the transfer of state export guarantee activities from Coface, a world leader in credit insurance, to Bpifrance following negotiations that began in July 2015 between Coface and the State on the principle of this transfer and on its various conditions.

Eubelius assisted bpost and Proximus with the modification of the articles of association

On 11 May 2016, the shareholders of bpost have approved the amendments to the articles of association, proposed by the board of directors of bpost. Eubelius already assisted Proximus in this process too, which was also successfully completed there on 20 April 2016. Both amendments to the articles of association adapt mainly the articles of association of Proximus and bpost to the thoroughly amended law of 21 March 1991 on the reform of certain economic public companies.

Ashurst advises BKI on share purchase plan

Ashurst has advised BKI Investment Company Limited (BKI) on the launch of a share purchase plan (SPP).

BKI announced an offer to BKI's eligible Australian and New Zealand shareholders who will have the opportunity to participate in the SPP, which is not underwritten. The SPP offers shareholders the opportunity to acquire up to A$15,000 worth of ordinary shares in BKI without paying any brokerage or other charges.

The SPP is scheduled to open on 7 April 2016 and close on 28 April 2016

Milbank Advises METRO AG on Preparation of its Demerger

Milbank, Tweed, Hadley & McCloy LLP acts as legal adviser to METRO AG in connection with its demerger plans. The management board of METRO AG is preparing the creation of two independent and sector focused companies through a demerger of the group: a Wholesale and Food Specialist group, as well as a Consumer Electronics products and services group. Both entities would become individually stock-listed.

William Fry advises Innocoll on its redomiciliation from Germany to Ireland

William Fry recently advised Innocoll Holdings plc (NASDAQ: INNL) a global, commercial stage specialty pharmaceutical and medical device company, in respect of its corporate redomiciliation from Germany to Ireland. The move to Ireland also involved the termination of Innocoll’s existing ADR programme and the direct listing of shares on NASDAQ.

King & Wood Mallesons has advised CBH Group on its response to an unsolicited corporatisation and listing proposal by GrainCorp-backed, Australian Grains Champion Pty Ltd.

CBH Group is Australia’s largest co-operative and Australia’s biggest grains exporter.

AGC’s proposal contemplates the possibility of up to $1bn in cash and scrip being offered to Western Australian grain growers in return for corporatising and listing the CBH business on ASX.

This week the CBH board announced its unanimous rejection of the proposal.

Bird & Bird advises Casual Dining Group on Bella Italia's first international franchise as it opens in India

Bird & Bird has advised Casual Dining Group (CDG), the largest independent operator of mid-market restaurants in the UK, on the first international franchise venture for its Italian restaurant chain Bella Italia.

The landmark restaurant was opened in India last week by franchise partner Wave Hospitality in the Aerocity complex, close to New Delhi's international airport.
