CMS ad­vises API In­ter­na­tion­al on in­vest­ment in DCI Di­git­al Car In­sti­tute

API International AG, a provider of digital data management systems for the automotive sector, has invested in newly established company DCI Digital Car Institute GmbH.

A CMS team led by Dr Juliane Voigtmann advised API International on all aspects of its investment in DCI Digital Car Institute. The transaction included API International transferring IP to DCI as part of an asset deal and also providing cash as growth capital via a joint round of financing with an IBG fund managed by bmp Ventures AG as co-investor.

Roschier represented Permira in the acquisition of a 10 percent stake in Klarna

Roschier represented Permira, a global investment firm, in the acquisition of a plus 10 percent stake in leading Swedish fin-tech group Klarna, one of Europe's largest banks, from i.a. General Atlantic and DST Global. Klarna is today active in 18 markets with more than 1500 employees, providing easy to use payment solutions for 60 million consumers and 70.000 merchants. The transaction is subject to approval by the relevant authorities.

Intermediate Capital Group (“ICG”) replaces private equity house Dunedin as the external investor for Black Rock Programme Management Ltd (“Blackrock PM”) and will provide both debt and equity financial support. As a result of the transaction, ICG has acquired a minority stake in the business, with management retaining substantial shareholdings. The transaction places an enterprise value of £161.5m on Blackrock PM.

WFW advises Principia on investment in Clinical Trial Center

Bird & Bird's London Corporate team advises Darktrace on its $75 million fundraise

International law firm Bird & Bird advised long term client Darktrace, a machine-learning cybersecurity company, on its $75 million Series D fundraise led by Insight Venture Partners, with existing investors Summit Partners, KKR and TenEleven Ventures also participating. The deal gives the Cambridge-based company a post-money valuation of $825 million, edging it ever closer towards entry to the 2017 unicorn club.

Newly launched Vicarius Pharma secures CHF21 million financing

Vicarius Pharma AG, a newly-launched company providing U.S.-based biopharmaceutical companies a novel approach to commercializing their first asset in European markets, has secured a CHF21 million (USD 21.8 million) investment through a Series A preferred stock financing from private investors. Vicarius acts as the innovator’s go-to-market organization for Europe, building a customer-facing organization and commercializing the asset in the innovator’s name, while absorbing all launch costs.
