Houthoff Buruma represented Vitol and Helios Investment Partners, jointly with Vinson & Elkins on its acquisition of Shell’s 20% shareholding in Amsterdam-baesd Vivo Energy for USD 250m. On completion, Vivo will be owned 100% by Vitol and Helios, although Vivo will continue to operate under the Shell brand.

International legal practice Osborne Clarke has advised Universal Health Services, Inc (“UHS“) on its £377 million acquisition of Cambian Group plc’s Adult Services Division.

UHS is a Fortune 500 company based in King of Prussia, Pennsylvania and is one of the largest hospital management companies in the United States. Cambian Group plc is one of the largest providers of specialist behavioural health services for children and adults in the UK.

International law firm Simmons & Simmons advised ING Corporate Investments, the co-investment branch of ING Bank, on their investment in EBUSCO B.V., a Dutch company which develops, markets and sells full electric (public transport) buses in the European market. The transaction was structured as a share issuance that resulted in a minority stake in EBUSCO for ING CI.

Ince & Co LLP has provided cross-border legal advice to longstanding client GasLog Ltd. (“GasLog”), an international owner, operator and manager of liquefied natural gas (“LNG”) carriers, on a sale and purchase agreement (“SPA”) to acquire a twenty percent shareholding in Gastrade S.A. Gastrade is licensed to develop an independent natural gas system offshore Alexandroupolis in Northern Greece. The system utilises a floating storage and regasification unit (“FSRU”), along with other fixed infrastructure.

Herbert Smith Freehills advises Reliance Communications on the US$1.6 billion sale of its towers business to Brookfield

Herbert Smith Freehills has advised Reliance Communications (RCOM) on the signing of binding agreements with Brookfield Infrastructure and its institutional partners to sell its towers business.

RCOM will receive an upfront cash payment of US$1.6 billion on completion of the transaction, which will be used to reduce the company's debt. This transaction represents the largest ever investment by any overseas financial investor in the infrastructure sector in India.

Midlands-based Elaghmore fund invests £11m in automotive manufacturer

An investment in Cambridgeshire-based commercial vehicle part manufacturer SB Components has marked the launch of a new £60 million Midlands-based fund set to drive growth in the UK’s industrial sectors.

The deal will enable a management buyout of Cambridgeshire-based commercial vehicle part manufacturer SB Components. They will be supported by experienced entrepreneurs and founders of the £60 million Elaghmore Fund, Elaghmore I (Fund 1). David Manning Andy Ducker and Greg Koral, who will each join the firm’s board.

AL-KO Vehicle Technology sells Actuation Systems division to General Aerospace with Heuking Kühn Lüer Wojtek

A team led by Munich-based partner Boris Dürr advised Alois Kober GmbH, Kötz, Germany, on the sale of AL-KO Vehicle Technology’s Actuation Systems division. The plants in Zellberg im Zillertal and a plant in Sura Mica, Romania, will be acquired by General Aerospace GmbH, Eschbach. The transaction will close on December 31, 2016.
 

Carmanah Technologies - Acquisition of Cybernetica’s Marine Aids to Navigation Business

We are acting as the legal advisor to Carmanah Technologies Corporation in the acquisition from Cybernetica AS of its business relating to marine aids to navigation. The assets are to be acquired by Carmanah’s wholly owned Estonian subsidiary, Sabik OÜ. The transaction is expected to be closed in the beginning of 2017.
