Dechert Advises Zealand in Collaboration with Eli Lilly

A team from Dechert LLP advised Zealand Pharma (NASDAQ OMX: ZEAL) ("Zealand") in its announced exclusive peptide drug research and development collaboration agreement with Eli Lilly and Company ("Lilly"). Under the agreement, Zealand will collaborate with Lilly in the design and development of potentially first-in-class peptide therapeutics for the treatment of Type 2 diabetes and obesity based on a novel approach discovered by Lilly. The companies will share in the funding, risk and reward of the program.

Allen & Overy Paris and Gide Loyrette Nouel advised Unibail-Rodamco and SOCRI Group in the establishment of a partnership for the development of the largest commercial center of the Côte d'Azur, Cagnes-sur-mer.

This centre will provide around a new concept of art and shopping, 75,000 m² of shops, restaurants and dedicated to art and culture spaces.

The total amount of the construction operation of the project amounts to 350 million euros.

Milbank, Tweed, Hadley & McCloy advised Masan Group Corporation, one of Vietnam’s largest private sector business groups, in relation to the signing of definitive agreements to establish a joint venture for the production of value-added tungsten chemicals in Vietnam.  The joint venture will be between H.C. Starck, a leading worldwide manufacturer of technology metals and one of the biggest companies in the global tungsten industry, and Nui Phao Mining Company (“Nui Phao”), a subsidiary of Masan Group Corporation.

Lightstone to Develop Outlet Mall

Paul, Weiss client The Lightstone Group, through its affiliate Paragon Retail, successfully completed a joint venture with Simon Property Group, the largest publicly traded REIT, to develop Eagan Premium Outlets, a retail outlet center in Eagan, Minnesota, outside Minneapolis.

The Paul Weiss team included real estate partner Peter Fisch; and tax partner Jeffrey Samuels.

McDermott Advises Irving Oil in $300 Million Joint Venture with TransCanada

McDermott Will & Emery represented Irving Oil, a privately owned regional energy and marketing company that owns and operates Canada’s largest refinery, in forming a joint venture with TransCanada to develop and construct the proposed $300 million Canaport Energy East Marine Terminal at Irving Canaport in Saint John, New Brunswick.  Irving Oil will operate the Canaport Energy East Marine Terminal, which will connect the proposed $12 billion Energy East Pipeline project recently announced by TransCanada to an ice-free, deep water port.

Herbert Smith Freehills advises Australian Oil and Gas Limited on its farmout of nine petroleum exploration permits to Blue Energy Limited

Herbert Smith Freehills has advised Darwin based Australian Oil and Gas Limited (AOG) in relation to a farm-out to Blue Energy Limited (BUL), of nine exploration permits located in the Wiso Basin, Northern Territory, Australia, a total area of 111,887 square kilometres or 27.6 million acres.

Under the terms of the farm-in, BUL will make an upfront cash payment to cover back costs incurred by AOG and fully fund the 3-stage work program to earn a 50% equity position in the permits.
