Freshfields advises Novartis on US$13bn sale of stake in consumer health JV to partner GSK

Freshfields Bruckhaus Deringer (‘Freshfields’) has advised Novartis AG on the sale of its 36.5% stake in its consumer health joint venture with GSK plc for US$13bn.

The Freshfields team was led by Julian Long and Jennifer Bethlehem with tax partner Paul Davison and antitrust partner Rod Carlton.

Baker McKenzie assists Natuzzi in joint venture with Kuka in China

Baker McKenzie assisted Natuzzi S.p.A. on the joint venture agreement with Jason Furniture (Hangzhou) Co., Ltd, a company belonging to the Kuka Group, listed on the Shanghai stock exchange. Natuzzi will confer the exclusive trademark license and all the sell and distribution activities of Natuzzi Italia and Natuzzi Editions in China to a joint venture formed by the entrance of Kuka into Natuzzi Trading (Shanghai) Co., Ltd. The completion of the transaction is subject to obtaining any applicable authorizations.

WFW advises DC-Datacenter-Group on a strategic partnership with MVV

Watson Farley & Williams (“WFW“) has advised DC-Datacenter-Group GmbH (“DC-Datacenter-Group“) on its new strategic partnership with MVV, an energy company headquartered in Mannheim, Germany.

As part of the partnership, MVV has acquired a 25.1% stake in DC-Datacenter-Group, an international database management company based in the German state of Rhineland-Palatinate and founded in 2005. The company focusses on the design, establishment and operation of data centres for both private companies and public institutions.

Withers KhattarWong advised Grab on pilot venture – GrabCycle

Withers KhattarWong represented Southeast Asia’s leading on-demand transportation and mobile payments platform Grab in its pilot project – GrabCycle, a marketplace app unifying four different mobility partners into a single app.

The Withers KhattarWong team, co-led by Singapore-based Corporate partners Farhana Siddiqui and Leong Chuo Ming, with the assistance of legal associate Chow Su Rin, represented Grab in setting the template for its partnership agreement with the other mobility partners.

Hogan Lovells assisted 21 Partners in the joint venture with Aberdeen Standard Investments (21 Aberdeen Standard Investments Limited), for the management of a new €1bn private equity fund.

21 Aberdeen Standard Investments Limited will be a UK based 50:50 joint venture. The investment strategy for the fund will target active non-controlling interests with a focus on providing patient capital for the long term. The Board of the JV will be led by Alessandro Benetton with the members drawn equally from both JV partners.

Osborne Clarke advises Total Media on joint venture with Mediaplus

Osborne Clarke has advised Total Media Group (TMG) on the formation of a joint venture with Mediaplus International. Within the joint venture, the two partners have established companies in London and Munich under the Total Mediaplus label.

Total Mediaplus offers an integrated product range of media planning and activation services, including the development of media strategies and advertising measures as well as the implementation of digital strategies involving a full channel mix.

MoFo Advises Chubb in Partnership with Grab

Morrison & Foerster LLP advised Chubb, the world’s largest publicly traded property and casualty insurance company, on a regional contractual-distribution joint venture with Grab Taxi, the leading on-demand transportation and Fintech platform in Southeast Asia.
