King & Wood Mallesons advises Ford on its joint venture with Zotye, going full blast on new energy vehicles

Ford Motor Company (Ford) reached a joint venture agreement with Zotye Auto (Zotye) to establish Zotye Ford Automobile Co. Ltd., a 50:50 joint venture with a total investment amount of RMB 5 billion. The new joint venture will develop a series of economic-type pure electric passenger vehicle products under its own brand. This joint effort made by Ford and Zotye has drawn great attention from the industry and becomes another "masterpiece" for the cooperation between multinational and local automotive manufacturers in the domestic new energy vehicles (NEV) market.

Clifford Chance advises Fujitsu on formation of JV with Lenovo and Development Bank of Japan

Clifford Chance advised Fujitsu Limited on the formation of a joint venture with Lenovo Group Limited and the Development Bank of Japan Inc. The joint venture will focus on the research, development, design, manufacturing and sales of Client Computing Devices for the global PC market.

Fujitsu will sell a 51% stake in its wholly owned subsidiary Fujitsu Client Computing Limited to Lenovo and a 5% stake to DBJ. After the transaction, FCCL will become a joint venture company owned by Fujitsu, Lenovo and DBJ and will continue to be known as Fujitsu Client Computing Limited.

Orrick London Team Advises intu properties plc on Joint Venture with LaSalle Investment Management

Orrick has advised intu properties plc (intu) on its joint venture with LaSalle Investment Management (LaSalle) to jointly own the intu Chapelfield Shopping Centre in Norwich, England.

LaSalle will acquire a 50 percent interest in the Centre for a net consideration of £148 million, before working capital adjustments. intu will continue to manage the Centre on behalf of the joint venture. The closing of the transaction is subject to EU merger clearance.

DLA Piper Advises ADG group on a Joint Venture with CJ CGV to Become the Leading Cinema Operator in Moscow

DLA Piper has advised ADG group, a pioneering Russian urban developer, on the establishment of a joint venture with South Korea's CJ CGV, the fifth largest multiplex theatre company in the world. ADG Group holds a 30% stake in the JV with a registered capital of US$30 million, while CJ CGV holds all the remaining shares.

Medical technology specialist CLEARUM GmbH and Cheplapharm Arzneimittel GmbH founded a joint venture by the name of Med-Tec Holding GmbH. CLEARUM and its founders, Dr. Torsten Klein and Jens Sieder, were supported by a team led by Dr. Stefan Duhnkrack from Heuking Kühn Lüer Wojtek.
 
Cheplapharm initially acquired a 24.9% stake in CLEARUM by way of a capital increase and will acquire 24.9% of the joint medical technology company Med-Tec Holding GmbH.
 

Eversheds Sutherland advises Audley Group on luxury retirement village joint venture

Eversheds Sutherland has advised Audley Group (Audley), the UK’s leading provider of luxury retirement villages, on its joint venture (JV) with Apache Capital Partners (Apache Capital), a London and Gulf-based private real estate investment management firm, to deliver a 13,750sqm, luxury high-end retirement village in London.

The scheme has a gross development value of £125m and is situated on Nightingale Lane, overlooking Clapham Common. Construction and development of the scheme is anticipated to commence by mid-2018, with completion expected in 2020.
