Joint Venture Wilmaa & Teleboy

The two Swisss web TV plattforms Teleboy and Wilmaa entered into a joint venture arrangement. The joint venture's purpose is to coordinate the marketing activities of Teleboy and Wilmaa through a jointly held service company. Each of the joint venture partners has a 50% stake in the service company.

Teleboy was founded in 2002 (at that time operating under the name "TV-Guide"). In 2010 Teleboy launched the first web based TV in Switzerland. Wilmaa was founded in 2008 and has become the leading web TV provider in Switzerland in the meantime.

Jeantet advises Avril and Tönnies on the creation of the joint venture Atelier des Viandes de France SAS

Paris, March 9, 2016 – French Avril group and German Tönnies group have finalized, on March 8, 2016, their agreement in relation to Alliance des Viandes de France SAS, a joint venture established in the Normandy region. The purpose of the joint venture is to produce “5F” pork meat (pork born, raised, slaughtered, butchered and processed in France) for the European end consumer market, with operations set to start from April 2016.

Clifford Chance advises New World and Chow Tai Fook on US$600 million commercial aircraft leasing joint venture

Clifford Chance advised New World Development's subsidiary NWS Holdings Limited and Chow Tai Fook Enterprises Limited on a joint venture with US aircraft leasing company Aviation Capital Group Corp. to form Bauhinia Aviation Capital Limited.

The joint venture's initial capital commitment of US$600 million will be used to build a portfolio of approximately 50 commercial aircraft.

Partner Cherry Chan led the team, supported by partner Paul Greenwell, associates Ervin Chan, Rae Guo and Benjamin Fisher.

Clifford Chance advises Wellcome Trust on £2 billion joint venture with Goldman Sachs

A team from Clifford Chance London have advised the Wellcome Trust on a £2bn joint venture with Goldman Sachs and Greystar to form a new student accommodation company with a portfolio of 23,500 beds across 54 sites in the UK. The new company, Vero Group, will consolidate the holdings of the three parties, bringing together iQ, owned by the Wellcome Trust, and Prodigy Living, owned by Goldman Sachs and Greystar. Goldman Sachs will own a stake of close to 70% in the new joint venture company and Wellcome close to 30%, with Greystar having a minority investment

Noerr advises Allianz Real Estate on €500 m joint venture with real estate developer VGP

Noerr has advised Allianz Real Estate on establishing a 50:50 joint venture with the real estate developer VGP which is active throughout Europe. Allianz was advised by an interdisciplinary team of Noerr’s Real Estate Investment Group from Noerr offices in Germany, the Czech Republic, Slovakia and Hungary. Shearman & Sterling Advises Viacom on Its Acquisition of a New Channel on Italian Digital Terrestrial Television

Shearman & Sterling advised Viacom International Media Networks Italia (Viacom) on its purchase from Sky Italia of the authorization to broadcast a channel on Italian digital terrestrial television and the related channel numbering. The new entertainment Channel 27 was launched by Viacom as the Paramount Channel. This transaction completes the implementation of a wider commercial transaction between Sky and Viacom signed in June 2015.
