Noerr advises BBC Worldwide on Tower Productions joint venture with All3Media Deutschland

Noerr has advised the media company BBC Worldwide Ltd. on the extension and revision of its joint venture with All3Media Deutschland GmbH in the joint production company Tower Productions GmbH. In addition to the conclusion of the new joint venture agreement, the transaction in particular included the transfer of the operative business of the production company MME Me, Myself & Eye Entertainment GmbH to Tower Productions.

Noerr advises Inmarsat on ten year contract with Lufthansa Group for the provision of inflight connectivity services

Noerr has advised Inmarsat on a contract with Lufthansa Group to provide high-speed inflight connectivity services for passengers onboard Lufthansa’s European continental fleet. The contract, which follows a Memorandum of Understanding, formalises not only a ten year strategic partnership between Lufthansa Group and Inmarsat, but also provides a contract framework to extend the service to the other airline brands in the Group.

Slaughter and May acted for The Department of Energy & Climate Change (DECC) over an extended period in the negotiations of a contract for difference and support arrangements for the Hinkley Point C nuclear power station, which is expected to be the first nuclear power station to be built in the UK in 20 years. Slaughter and May also acted for The Office for Nuclear Development (OND) on the related Funded Decommissioning Programme for Hinkley Point C.

(“WalletSaver”) on the negotiation of an “Application Development Agreement” with the Brazilian consumer association “PROTESTE - Associacao Brasileira de Defesa do Consumidor” (“Proteste”), an independent consumer advocacy association which operates within the international framework of the non-profit organization Euroconsumers. Proteste is now the largest such group in Latin America, with close to 300,000 members.

Noerr has advised Air Liquide, Daimler, Linde, OMV, Shell and Total on establishing the joint venture H2 MOBILITY Deutschland GmbH & Co. KG.

By forming this joint venture, the parties have set the course for gradually expanding the nation-wide hydrogen (H2) station network to a total of ca. 400 stations by 2023. The action plan of H2 MOBILITY provides for a comprehensive network of H2 stations throughout Germany by the year 2023. To this end, investments totalling ca. €400 million are planned.

Slaughter and May is advising JSE-listed Mediclinic International Limited on its recommended combination with UK premium-listed Al Noor Hospitals Group plc. The combination will create a leading international private healthcare group with operations in the United Arab Emirates, Southern Africa and Switzerland and pro forma revenues of $4 billion. The enlarged group, which will retain its UK premium listing as well as a secondary listing on the JSE, is expected to join the FTSE 100 index on completion of the transaction in Q1 2016.

Watson Farley & Williams (“WFW”) has advised EWE AG (“EWE“) on all legal and tax matters for the joint venture development of the German offshore wind farm Borkum West II – 2nd phase. The joint venture partners of EWE are Trianel GmbH, as well as 22 public utility companies of the Trianel group. WFW has advised on all joint venture and company agreements, as well as the project development agreements, due diligence and structuring of the project.

White & Case LLP has advised Chiyoda Corporation on the establishment of a 50:50 joint venture with Ezra's Subsea Services business, EMAS AMC, a leading engineering, procurement, construction and installation contractor, to create EMAS CHIYODA Subsea.

The transaction, initially announced on August 27, 2015, is subject to the approval of Ezra shareholders and other conditions. It is expected to close by year-end.

White & Case LLP has advised The Boeing Company on a joint venture with Saudia Aerospace Engineering Industries and Alsalam Aircraft Company to create the Saudi Rotorcraft Support Center in the Kingdom of Saudi Arabia.

The joint venture will have locations in Riyadh and Jeddah, providing comprehensive, in-country maintenance repair and overhaul support for Saudi Arabia’s commercial and defense rotorcraft fleet.
