Hogan Lovells advised the leading Korean Internet company Naver on the acquisition of Xerox Research Centre Europe

 Hogan Lovells advised Naver, Korea's leading Internet company, in relation to its acquisition of the Xerox Research Centre Europe located in Grenoble. The agreement is expected to close in the third quarter of 2017.

Founded in 1993, the Xerox Research Centre Europe has focused its research in artificial intelligence, machine learning, computer vision, natural language processing and ethnography. In addition to a strong foothold in Europe, Naver expects to generate significant synergies from this acquisition.

Allen & Overy advises Fresenius Kabi on planned billion-dollar takeover in the US

Allen & Overy LLP advises Fresenius Kabi on the planned takeover of US pharmaceutics manufacturer Akorn, Inc.  Fresenius Kabi has offered USD 34 for each Akorn share, equalling a purchase price of USD 4.3 billion in total, including the assumption of net financial indebtedness of USD 450 million. With the takeover of Akorn, Fresenius Kabi will strengthen its core business and broaden its product portfolio.

Osborne Clarke advises Puls on the acquisition of Etasyn

Osborne Clarke has advised Puls GmbH on the acquisition of Etasyn GmbH.

Puls specialises in the development and manufacture of DIN rail power supplies for industrial applications. The company has a very broad range of standard power supplies.

Saxony-based electronics company, Etasyn GmbH designs and manufactures power conversion solutions for the industrial sector.

A team lead by Corporate Partner Dr Martin Sundermann advised Puls on the transaction. The team also included Matthias Elser, Mark Friedrich (both Corporate) and Thomas Schnabel (Real Estate).

Pestalozzi advised Invivo Wine Group in connection with its acquisition of the Dutch Wine Distributor Baarsma Group

On July 4, 2017, Invivo Wine Group completed its acquisition of the Dutch wine distributor Baarsma Group, one of the largest wine distributors in Europe, who has also operations in Switzerland. Invivo Wine is a subsidiary of French Union Invivo, a company in which 220 French cooperatives in the agricultural sector are partnering. Pestalozzi advised Invivo Wine on all Swiss law aspects of this transaction.

Institutional Shareholder Services Inc. (ISS), the leading provider of end-to-end corporate governance and responsible investment solutions to the global financial community, announced on June 21, 2017 the acquisition of the investment climate data division of South Pole Group which delivers climate change solutions to the financial industry.

Hengeler Mueller advises CVC on acquisition of Etraveli

CVC Capital Partners (“CVC”), one of the world’s leading private equity and investment advisory firms, and ProSiebenSat.1 Group (“ProSiebenSat.1”) have announced that funds advised by CVC will acquire Etraveli, a global flight-centric online travel agency (OTA), from ProSiebenSat.1. Etraveli is a global e-commerce platform for flight tickets (e.g. Gotogate, Supersaver/Supersavertravel, Seat24, Flygresor). The agreement is subject to approval by the relevant authorities.

Schoenherr advises Roche on acquisition of mySugr

Schoenherr has advised the Roche Group ("Roche") on the acquisition of all shares of mySugr GmbH ("mySugr"). With more than one million users globally, mySugr is one of the leading mobile diabetes platforms, which will become an integral part of Roche’s new patient-centred digital health services platform in diabetes care. Through this acquisition, Roche will expand its leading position in the area of diabetes management. The transaction was announced on 30 June 2017.
