Herbert Smith Freehills has advised The Foschini Group Limited (TFG) on its acquisition of Australian retail apparel group, RAG for A$302 million.  

RAG is a leading Australian retail group, with approximately 400 stores, comprising five different retail brands, including Connor, yd., Tarocash, Johnny Bigg and Rockwear.

Reed Smith advises iManage on acquisition of RAVN Systems

(LONDON – 30 May, 2017) – Global law firm Reed Smith advised iManage, the leading provider of Work Product Management solutions, on its acquisition of RAVN Systems, a leading UK-based artificial intelligence (AI) agency.

The cross-office team was led by Reed Smith corporate partners Siddesh Bale (Chicago) and James Cross (London), and required cross-practice collaboration between the Global Corporate Group, intellectual property, labour & employment and real estate.

Davis Polk Advises Starwood Capital Group on the Offer from Fortune Fountain Capital to Acquire 88.8% of the Share Capital of Baccarat

Davis Polk is advising Starwood Capital Group in connection with an irrevocable offer by Fortune Fountain Capital, a prominent Asian investment firm established as a family office, to acquire 88.8% of the share capital of Baccarat, the internationally renowned French luxury crystal Maison, from affiliates of Starwood Capital Group and L Catterton, at a price of €222.7 per share, for €164 million.

Ashurst advises Spirax-Sarco Engineering on its US$415 million acquisition of Chromalox

Ashurst is advising Spirax-Sacro Engineering PLC on the financing aspects of its acquisition of Chromalox, Inc. from Irving Place Capital for a cash-free, debt-free consideration of US$415 million (£319 million), working closely with Spirax's General Counsel, Andy Robson.

Spirax-Sarco specialises in the control and efficient use of steam and in peristaltic pumping and associated fluid path technologies. Chromalox is a U.S. based provider of electrical products, systems and solutions for industrial process heating and temperature management.

JTB Corp. acquires Kuoni Global Travel Services

JTB Corp. announced on May 30, 2017 that it has concluded an agreement to acquire all shares of Kuoni Travel Investments Ltd. (Kuoni Global Travel Services), a leading company in European inbound travel. With this acquisition, JTB Corp. aims to strengthen the inbound business from Asia to Europe. The acquisition is subject to customary approval by the relevant competition authorities.

Gernandt & Danielsson advises Volati in the acquisition of Akademibokhandeln

Volati has signed an agreement to acquire the shares in Akademibokhandeln Holding AB.

The purchase consideration for 100% of the shares amounts to SEK 263 million. The acquisition will take place at an estimated enterprise value (EV) of about SEK 760 million. The management will remain as shareholders, with holdings amounting to around 5.2% of the shares in Akademibokhandeln Holding AB. The acquisition is conditional on approval from the Swedish Competition Authority.
