Squire Patton Boggs Advises Clipper Logistics Plc on £11.75 Million Acquisition

Squire Patton Boggs has advised Clipper Logistics plc, a leading provider of value-added logistics solutions and e-fulfilment to the retail sector, on the acquisition of the entire issued share capital of Tesam Distribution Ltd for a consideration of £11.75 million.

Tesam is a provider of a variety of warehousing and distribution services to the retail sector. The business, which operates from three sites in and around Peterborough, totalling more than 1.1 million square feet of space, was established in 1984 and employs 250 people.

Slaughter and May advised INEOS in connection with its proposed acquisition of the entire Oil & Gas Business of DONG Energy A/S. Under the terms of the agreement INEOS will pay DONG Energy a headline price of $1.05 billion plus contingent consideration of up to $250 million.

Jeantet has advised the Spotify group on its acquisition of Niland, a French start-up which has developed a music recommendation tool based on artificial intelligence, from, in particular, its founders and various financial investors.

This acquisition follows the one, completed in 2014, of The Echo Nest, an American start-up also specialised in music recommendations.

TDK acquires InvenSense for $1.3 billion

Jones Day advised TDK Corporation in its $1.3 billion acquisition of InvenSense, Inc. The transaction was unanimously approved by the Boards of Directors of both companies. The acquisition was completed through a merger of a newly created subsidiary of TDK with and into InvenSense, with InvenSense continuing following the merger as a wholly-owned subsidiary of TDK.

In addition to M&A representation, Jones Day provided antitrust, employee benefits, and intellectual property advice regarding this transaction.

Stephenson Harwood (Singapore) Alliance advises on pan Asia-Pacific acquisition for Duff & Phelps

Stephenson Harwood (Singapore) Alliance has advised Duff & Phelps, a global valuation and corporate finance adviser, on its acquisition of Quantera Global Asia Holding, an Asia-Pacific transfer pricing advisory firm affiliated with Quantera Global.

The transaction involved the acquisition of the Quantera business in Australia, Hong Kong, Malaysia, Singapore and Vietnam, a restructuring of the Quantera business in the Philippines, Japan and the People's Republic of China and involved a team of lawyers from across Stephenson Harwood's network of Asian offices.

Morgan on John Wood Group PLC's £2.3 billion proposed acquisition of Amec Foster Wheeler plc, in relation to which formal shareholder documents were published on 23 May. Credit Suisse and J.P. Morgan are acting as financial advisers and FCA sponsors to John Wood Group in relation to the acquisition.
