Ashurst advises Argo-Hytos Group on the acquisition of a shareholding by Capcellence

Ashurst advised the Argo-Hytos Group on the acquisition of a shareholding in the Swiss-based specialist for hydraulic components and systems by Capcellence. The German finance investor acquired the minority shareholding in the course of a capital increase, the majority remaining with the founder family, Kienzle.

Thanks to the minority shareholding, Argo-Hytos is able to strengthen its competitive position and to establish a long-term basis to extend its ongoing strategy of internationalisation and innovation as a family business.

Clifford Chance advises Chinese M.L.S. Electronics Co., LTD on the acquisition of OSRAM's business unit Lamps

Clifford Chance has advised the Chinese lighting company M.L.S. Electronics Co., LTD (MLS) on the acquisition of OSRAM's business unit Lamps known as LEDVANCE. MLS is part of a Chinese consortium whose other members are the investors IDG Capital Partners (IDG) and Yiwu. The purchase price amounts to more than €400 million. The consortium will finance the purchase price on an all equity-financed basis. The transaction is subject to certain closing conditions and regulatory approval by the relevant authorities. The transaction is expected to close in the course of fiscal year 2017.

Acino divests its patch business to Luye Pharma Group Ltd.

Luye Pharma Group Ltd. has entered into an agreement to acquire the TDS business from Acino, through the purchase of the entire issued share capital of Acino AG and Acino Supply AG for EUR 245,000,000. The target group is a Europe based global leader in advanced transdermal drug delivery systems (TDS) and is one of the largest independent TDS manufacturers in Europe. Closing is expected to occur in the second half of 2016.

Barnes Group acquires FOBOHA shares of Adval Tech Holding AG with GvW Graf von Westphalen

Upon acquiring Adval Tech's Mold Business ("FOBOHA"), the US American Barnes Group is expanding its offering of complex tooling technologies. GvW Graf von Westphalen provided advice with regard to the shares in Germany in the transaction, which was concluded under Swiss law and is still subject to approval by the antitrust authorities. 

Eversheds advises Greencore in food to go acquisition

Eversheds has advised leading international convenience food producer, Greencore on the £15m acquisition of The Sandwich Factory Holdings Limited from Cranswick plc.

The Sandwich Factory operates from a single facility in Atherstone, Warwickshire, where it produces a range of food to go products for distribution in the convenience store and food service channels. Net revenue from manufactured products in the financial year ended 31 March 2016 was £42m.

Adelis Equity Partners makes triple acquisition

On 29 June 2016, the Nordic private equity fund, Adelis Equity Partners published its acquisition of IT Relation A/S, Front-data Danmark A/S and DSI-Next A/S.

IT Relation A/S, Front-data Danmark A/S and DSI-Next are three separate suppliers of IT-outsourcing solutions to small and medium-sized enterprises having between 50 and 800 employees. The consolidating unit will no doubt be the largest player within this segment in Denmark.

Osborne Clarke advises Ambienta on its proposed purchase of Vaclensa Limited

International legal practice Osborne Clarke has advised Ambienta on its proposed acquisition of Vaclensa Limited through its portfolio company IP Cleaning SpA (IPC).

Ambienta is the largest European private equity fund specialising in environmental investments, while its portfolio company IPC is the number three player in the European professional cleaning market. Its proposed acquisition of Vaclensa, one of the UK's largest independent distributors of professional cleaning machines, will enable IPC to consolidate its prominent position in Europe.

Stephenson Harwood advises Inflection Management Corporation on recommended offer for Superglass Holdings Plc

Law firm Stephenson Harwood LLP has advised Inflection Management Corporation on its £13.2 million recommended public takeover and refinancing of Superglass Holdings Plc, the UK’s largest independent glass wool maker. Glass wool is used for thermal and acoustic insulation, as well as fire protection, in houses and other properties.
