Shearman & Sterling Advises ICIG on Acquisition of Sandoz Industrial Products

Shearman & Sterling advised International Chemical Investors Group (ICIG) on the acquisition of Sandoz Industrial Products GmbH from Novartis. The transaction is expected to close on April 1, 2016.

Sandoz Industrial Products is a German manufacturer of enzyme-based fermentation products and intermediates particularly for 7-ACA antibiotics. With this transaction, Sandoz Industrial Products will become part of the CordenPharma Group, the pharma platform of ICIG. Upon closing of the deal, CordenPharma Group will become one of the major suppliers of 7-ACA.

Setterwalls has assisted Wallenius Water in the acquisition of 50% of the shares in Vegafish

Setterwalls advised Wallenius Water in a joint venture with the founders of Vegafish and Almi Invest in a project for environmentally friendly cultivation of tiger prawns in Sweden. Wallenius Water is a leading supplier of environmentally friendly solutions, including recirculating system of water (RAS) for the land-based fish farming industry in China.

United Bankers Plc: Purchase of POP Bank’s Investment Service Company Optium Oy

Castres & Snellman were legal counsel to United Bankers Plc group in an arrangement in which UB’s subsidiary UB Asset Management Ltd acquired POP Bank’s investment service company Optium Oy. Through this deal, UB will be able to acquire a significant number of new clients for its asset management services. The purchase of Optium also expands UB’s geographical network. The C&S team was led by Jarno Tanhuanpää.

KWM advises Novomatic on acquisition of 53% of Ainsworth Game Technology

King & Wood Mallesons (KWM) has acted for Novomatic on its acquisition of 53% of Ainsworth Game Technology from Leonard H Ainsworth, the founder and chairman of the Australian gaming company. The completion of the acquisition is subject to shareholder approval and regulatory conditions.

Established in 1985 by owner and founder, Professor Johann F. Graf, Novomatic is one of the largest game technology companies in the world. Headquartered in Austria, Novomatic has operations on a global scale with leading market positions in Europe and Latin America.

King & Wood Mallesons advises Eurazeo PME on its investment in Orolia

King & Wood Mallesons has advised Eurazeo PME, the investment subsidiary of Eurazeo, on its investment to acquire 88% of Orolia alongside the founders and management.

The transaction should be completed in April 2016, subject to the lifting of the standard conditions precedent, will see Eurazeo PME taking a 50.1% stake and become majority shareholder in Financière Orolia, with the remaining two co-founders holding 40% and management the remaining 9.9%.

Weil Advises HNA Group in $6 Billion Acquisition of Ingram Micro

Weil is representing HNA Group in Ingram Micro Inc.’s and Tianjin Tianhai Investment Company, Ltd.’s definitive merger agreement under which Tianjin Tianhai will acquire Ingram Micro. Following the close of the transaction, expected in the second half of 2016, Ingram Micro will become a part of HNA Group, the largest shareholder of Tianjin Tianhai. The all-cash transaction is estimated to have an equity value of approximately $6 billion.

Osborne Clarke advises Wirecard on acquisition of Moip Pagamentos S.A.

Wirecard acquires all the shares in the company, which has developed a leading payment platform for small and medium sized retailers. In particular it focuses on marketplaces and companies with direct sales with its innovative end-to-end solutions. Wirecard will take over more than 150 employees at its location in Sao Paulo and is continuing its global expansion with the entry into the Brazilian market.
