Advising DIF in connection with the acquisition of the Sathonay Camp Services

Advising DIF Infrastructure in connection with the acquisition from the French construction company, GCC, of a 95% stake in the Sathonay-Camp Gendarmerie PPP project.

The € 160 million project reached financial close in 2009 and construction was completed in 2012 by GCC. The project has been operational for 3 years and has a remaining concession life of 27 years under an availability based payment scheme with the French Ministry of Interior.

Herbert Smith Freehills advises BevCo Ltd on Anheuser Busch InBev's £68 billion takeover offer of SABMiller

Herbert Smith Freehills is advising BevCo Ltd, the second largest shareholder in SABMiller PLC, on the £68 billion possible takeover offer for the latter by Anheuser-Busch InBev. The deal represents a genuine game changer in the brewing sector, with SABMiller being the second largest and Anheuser-Busch InBev ("AB InBev") the largest brewing firm by worldwide revenue. The deal, which remains subject to regulatory and competition approval, represents the fourth-largest takeover in history and the largest to date in 2015 according to Dealogic.

Freshfields advises Zurich on Kono Insurance acquisition

Freshfields Bruckhaus Deringer has advised global insurer Zurich on its agreement to acquire Kono Insurance Limited (Kono Insurance), an authorised general business insurer in Hong Kong.

The proposed acquisition was announced today and remains subject to regulatory approval.

Kono Insurance is a general business insurer in Hong Kong, with a particular focus on construction and engineering related insurance.

Darrois Villey Maillot Brochier advises JCDecaux on the exclusive negotiations with Publicis Groupe and Médias & Régie Europe relating to the increase of JCDecaux’s shareholding in Metrobus from 33% to 100%.

Since 2005, JCDecaux has owned 33% of the share capital of Metrobus, the French leader of transportation advertising, which is the parent company of Mediagare, Mediarail, Média Transports and SMPA.

KWM assists Macquarie Group fund Esanda acquisition

King & Wood Mallesons (KWM) have advised Macquarie Group on the debt and equity funding for its $8.2 billion purchase of Esanda.

The purchase will see Macquarie's motor vehicle finance assets climb to $17 billion, from $9 billion.

The KWM equity capital markets team comprised partners Evie Bruce and David Eliakim and senior associates Henrik Moritz, Andrew Phillipson, Scott Phillips and solicitor John Arthur. The KWM banking team included partner Ken Astridge, senior associate John Eagleton and solicitors June Guo and Susie Nguyen.

DWF advises Capita on its acquisition of secure IT network provider Electranet

DWF LLP has advised Capita on its acquisition of Electranet, a leading supplier for the design, delivery and support of highly secure network and communication infrastructure in the UK, for a cash consideration of £37m on a cash-free, debt-free basis.

Electranet runs one of the UK's few commercial sites that is approved to hold UK government protectively marked information, allowing it to support secure government projects.

Ashurst advises Nippon Life Insurance on A$2.4bn acquisition of MLC

Ashurst has advised Nippon Life Insurance Company (Nippon Life) on its acquisition of 80% of the outstanding shares in MLC Limited (MLC), a subsidiary of National Australian Bank (NAB), to the value of A$2.4 billion.

The transaction also included a 20 year distribution agreement between MLC and NAB. NAB will continue to hold the remaining 20% of the outstanding shares of MLC and seek to expand MLC's business together with Nippon Life. Upon closing, MLC will become a subsidiary of Nippon Life.

Ringier Acquires 60% Stake in My-Store

Swiss media company Ringier AG has acquired a 60% stake in My-Store SA, Western Switzerland’s leading online outlet shop. The founders of My-Store SA will retain a minority stake of 40%. My-Store SA will be merged with DeinDeal AG, a wholly owned subsidiary of Ringier AG, in 2016.

Bär & Karrer acted as legal advisor to Ringier AG in this transaction. The Bär & Karrer team included Christoph Neeracher, Luca Jagmetti, Beda Kaufmann, Philippe Seiler (all M&A), Markus Wang (IP) and Daniel Bader (Tax).

Amgen Inc. to acquire Dezima Pharma

De Brauw Blackstone Westbroek has advised Amgen Inc. on the USD 1.55 billion acquisition of Dezima Pharma.

Dezima is a privately held, Netherlands-based biotechnology company, focused on developing innovative treatments for dyslipidaemia. De Brauw acted as local counsel to Amgen.
