Tsinghua to Acquire 51% Interest in Hewlett-Packard’s Chinese Networking and Technology Infrastructure Business

Simpson Thacher is representing affiliates of Tsinghua University in connection with the acquisition of a 51% interest in a newly created business comprising Hewlett-Packard’s subsidiary, H3C Technologies, and HP’s China-based server, storage and technology services businesses. The newly created company will have a total value of approximately $4.5 billion. The transaction is expected to close near the end of 2015, subject to regulatory approvals and customary closing conditions.

Shearman & Sterling Advises China’s BoCom Bank on Acquisition of Brazil’s Banco BBM

Brazil’s President Dilma Rousseff and China’s Premier Li Keqiang were present earlier this week in Brasilia to witness the signing of several key transactions involving investments by the Chinese SOEs in several sectors, including one in which Shearman & Sterling represented the Bank of Communications Co., Ltd. (“BoCom”), a Chinese joint stock company listed on HKEx, in its acquisition of 80% of the total outstanding shares of Brazil’s Banco BBM S.A. (“BBM Bank”).

Ashurst advises Equistone on the acquisition and financing of Rhodius

Ashurst advised funds managed by Equistone Partners on the acquisition and the financing of Rhodius Group. Equistone acquired the shares from NORD Holding and BayBG Bayerische Beteiligungsgesellschaft. Rhodius is a leading manufacturer of mechanical components and modules for airbags and the environmental and process engineering industry. The acquisition financing was provided by Commerzbank Aktiengesellschaft. The parties have agreed not to disclose the purchase price nor the financing volume.

DMG MORI SEIKI completes the merger control side of large transaction with CMS

The increase of the shareholding in DMG MORI AKTIENGESELLSCHAFT, Bielefeld (formerly GILDEMEISTER AG), by the Japanese machine tools manufacturer DMG MORI SEIKI CO., LTD. to 52.54% has been cleared by the respective merger control authorities. At the beginning of the year, DMG MORI SEIKI CO., LTD., located in Yamato-Koriyama, had successfully submitted a public tender offer to the shareholders of the German company. With a stated offer price of EUR 30.55 per share, the transaction had a maximum total value of more than EUR 1.5 billion.

NCTM Studio Legale Associato in the sale of Gervasoni to Italian Design Brands (IDB)

NCTM Studio Legale Associato assisted the brothers Giovanni and Michele Gervasoni in the sale of the entire share capital of Gervasoni s.p.a., a long established Italian high quality furnishing company, and in the subsequent reinvestment of part of the sale proceeds in Italian Design Brands s.r.l., the special purpose vehicle used by a club of private investors with the aim of creating an Italian design hub capable of competing at international level.
