Nabarro advises on Urban&Civic's £34 million acquisition of Catesby Property Group

Nabarro has advised longstanding client, Urban&Civic on its £34 million acquisition of Catesby Property Group, a well-established, planning led, strategic land company set up in 1996 by Eric Grove. The consideration was a mixture of cash and shares in Urban&Civic. This follows Urban&Civic's reverse acquisition by AIM-traded Terrace Hill and £325 million move to the main market last year, which Nabarro also advised on.

Swedish-Canadian consortium acquires Fortum’s electricity distribution business in Sweden for approx. EUR 6.6bn

A consortium consisting of Swedish national pension funds Första AP-fonden (AP1), Tredje AP-fonden (AP3), Swedish mutual insurance and pension savings company Folksam, and Borealis Infrastructure, an international investor in large-scale infrastructure projects backed by OMERS, one of Canada’s largest pension plans, has agreed to acquire Fortum’s electricity distribution business in Sweden for approximately EUR 6.6 billion. Completion of the transaction is subject to regulatory approval as well as customary closing conditions.

Vinge advises Litorina in connection with acquisition of LGT Logistics

Vinge has advised Litorina IV in connection with the acquisition of the majority of the shares in LGT Logistics from Axcel. The company’s management will continue as shareholders of LGT Logistics together with Litorina. LGT Logistics, with net sales of over SEK 700 million, is the leading player in furniture logistics with a full service offering encompassing warehousing, cross-docking and distribution of furniture goods within, to and from the Nordic countries.  The acquisition is conditional upon the approval of the salient competition authority.

Caldic acquires The Ingredient Company

De Brauw Blackstone Westbroek has advised Caldic on the acquisition of The Ingredient Company, a distributor of savoury and nutrition ingredients in Canada.

Caldic is an international distributor and producer of food ingredients, chemicals and technical products. The completion of this agreement strengthens Caldic’s strong position in Canada in its aim to become a leading North American food ingredient solution provider. Before, De Brauw advised Caldic on various international acquisitions in Canada, Finland and France.

Slaughter and May advises ITV - acquisition of Talpa for initial cash consideration of approximately £355 million

Slaughter and May, working as a team with De Brauw Blackstone Westbroek, is advising ITV plc (ITV) on its acquisition of Talpa Media B.V. (Talpa), a fast growing Netherlands based production and distribution company. The joint Slaughter and May and De Brauw Blackstone Westbroek team is led by ITV's in-house legal and commercial teams.

Dovre Group Plc: Acquisition of Norwegian Petroleum Consulting Group AS

Castres & Snellman advised Dovre Group Plc, a Finnish listed company, in its acquisition of Norwegian Petroleum Consulting Group AS, a Norwegian privately-held company focusing on providing staffing services to the oil and  gas industry with operations in Norway, South East Asia, the US and the UK. Dovre Group will receive 100% of the shares in Norwegian Petroleum Consulting Group AS in exchange for approximately 36 million new shares to be issued through a directed share issue representing 36.5% of the shares and voting rights in Dovre Group Plc after the directed share issue.

Niederer Kraft & Frey advised Knorr-Bremse AG in the acquisition of Selectron Systems AG

Niederer Kraft & Frey advised Knorr-Bremse AG, the world’s leading manufacturer of braking systems for rail and commercial vehicles, which is based in Munich and employs more than 24,000 people worldwide, in the acquisition of Selectron Systems AG, Lyss. Through this acquisition, Knorr-Bremse is expanding its portfolio to include components and solutions for the automation of rail vehicles. The acquisition successfully closed on 24 February 2015.

ES Group is a 260-strong, consultancy-led business with a major presence in many UK regions.  The firm is a market leader in providing valuation and corporate recovery advice to banks and accountancy firms and is also at the forefront of the fast-growing alternatives market, particularly in hotels, healthcare and education.

Slaughter and May advised INEOS - proposed acquisition of interests in certain shale gas licences in England and Scotland from IGas Energy

Slaughter and May advised INEOS in connection with its proposed acquisition from IGas Energy (IGas) of an interest in 10 on-shore licences across England and Scotland in consideration for the payment of a cash sum of £30 million and the funding of a two phase work programme of up to £138 million. INEOS will become operator of several of the licences.
