DAC Beachcroft Advises St James's Place On Acquisition of Asian Advisory Business

DAC Beachcroft has advised St James's Place (SJP), the FTSE 100 wealth manager headquartered in Cirencester, on the acquisition of an Asian advisory business, the Henley Group.

SJP, a long-standing client of the firm, has funds under management of £44 billion. The Henley Group has around £400 million ($665 million) under management and 4,000 expatriate clients serviced from its bases in Hong Kong, Singapore and Shanghai. Completion of the deal remains subject to the approval of regulators in Asia.

Freshfields advises on €1.1bn acquisition of Bord Gais Energy

Freshfields Bruckhaus Deringer has advised on the acquisition of Bord Gais Energy, the vertically integrated Irish energy business from Bord Gais Eireann, the state owned energy business, by a consortium of Centrica, Brookfield Renewable and iCON Infrastructure. The deal has an enterprise value of €1.1bn (£920m). The transaction should be completed in the first half of 2014.

Herbert Smith Freehills advises CBA on its exit from property funds and property asset management platform

Herbert Smith Freehills has advised Commonwealth Bank of Australia (CBA) on its exit from its property funds management and property asset management platform. The property platform provided management services to three listed trusts with over A$20 billion in property assets under management.

The trusts were CFS Retail Property Trust Group (CFX), Commonwealth Property Office Fund (CPA) and the Kiwi Income Property Trust (KIPT). The platform also included various unlisted wholesale funds and third party property mandates.

Davis Polk Advises Goldman Sachs and Vestar Capital Partners on the Acquisition of Hearthside Food Solutions

Davis Polk is advising Goldman Sachs’s merchant banking division and Vestar Capital Partners in connection with the acquisition of Hearthside Food Solutions LLC from Wind Point Partners. Financial terms of the transaction, which is expected to close in the second quarter of 2014, were not disclosed.

NYSE listed TransDigm Group Incorporated has, through its UK subsidiary Technical Airborne Components Ltd., acquired all shares in EME Holding GmbH, including its subsidiaries in Germany and Hungary, at a purchase price of approx. 47.4 million US dollars from DCX-CHOL Enterprises, Inc. (Los Angeles, USA).

EME Group, headquartered in Ingolstadt (Germany), manufactures proprietary, highly engineered aerospace electromechanical actuators, electrical and electromechanical components and assemblies primarily for commercial aircraft, helicopters and other specialty applications.
