DLA Piper advises Vodafone on €7.2bn acquisition of Ono

DLA Piper has advised Vodafone Holdings Europe S.L.U. (Vodafone) on its acquisition of Spanish cable company Grupo Corporativo Ono, S.A. (Ono) for €7.2 billion on a debt and cash free basis.

Ono has the largest next-generation network in Spain with approximately 7.2 million homes released to marketing serving 1.9 million customers in 13 of Spain’s 17 regions. It is the market leader in high speed broadband, offering superior speeds and the most innovative pay-TV service in Spain. The network has abundant spare capacity and a future-proof fibre architecture.

Osborne Clarke with SEL in the acquisition of 80% of Selsolar Rimini S.r.l.

Osborne Clarke advised SEL Srl, a company forming part of the SEL Group, the main producer of hydroelectric energy in Alto Adige and operating in the generation. distribution and sale of electricity, in its acquisition from Green Utility S.p.A. of 80% of the share capital of the company Selsolar Rimini S.r.l., owner of the largest integrated pv plant with innovative technical characteristics in Italy, and nominal power of 4,33 MWp, located on the roofs of the exhibition halls of the Rimini trade fair.

Simpson Thacher Represents Boyd Corporation in its Acquisition of Brady Corporation’s Die-Cut Business

The Firm is representing Boyd Corporation, a Snow Phipps portfolio company, in its definitive agreement to acquire the Asian and European Die-Cut businesses of Brady Corporation. The newly combined company will operate under the Boyd brand.  The transaction, which is subject to regulatory approvals and other customary closing conditions, is expected to close in two phases, with the first closing expected to occur within approximately 90 days of its signing, and the second closing expected to occur mid year.

Eversheds advises Personal Group on acquisition of salary sacrifice home technology provider

Eversheds, has advised UK-based, AIM-quoted client Personal Group, a leading provider of employee benefits packages, employee-related insurance products and financial services to SMEs and large corporates on its acquisition of Lets Connect IT Solutions Limited for a total consideration of up to £12 million.

The consideration will be satisfied by a £6 million cash payment at completion, followed by an earn-out over two years for the remainder of the consideration, dependent on performance.

Men’s Wearhouse to Acquire Jos. A. Bank Clothiers

Davis Polk is advising J.P. Morgan Securities LLC and Bank of America Merrill Lynch as financial advisers to The Men’s Wearhouse, Inc. in connection with its definitive agreement to acquire Jos. A. Bank Clothiers, Inc. for $65.00 per share in cash, or total consideration of $1.8 billion. The transaction, which is expected to close by the third quarter of 2014, is subject to satisfaction of customary closing conditions.

Osborne Clarke advises Cape on £37m acquisition of Motherwell Bridge

Osborne Clarke has advised Cape plc (LSE:CIU), the international provider of critical support services to the energy and mineral resources sector on its acquisition of Motherwell Bridge Limited, world leader in the build and maintenance of storage tanks, heat exchangers and gasholders for a sum of £37m net of debt and working capital.

The Osborne Clarke team was led by Head of Business Transactions Group, Partner Ray Berg who was assisted by Associate Director Matthew Bodfield and Associate Jenny Reid.

Dentons advises Rcapital on its acquisition of Shopacheck Financial Services

Dentons has acted for Rcapital, the London-based private equity investment company, in their acquisition of Shopacheck Financial Services (SFS), the home collected credit business, from Welcome Financial Services Limited.

The transaction will see SFS merge with Rcapital’s existing home collected credit business, Morses Club Limited (MCL), building on the best from both organisations. The revenue of the newly formed business is expected to be in the region of £80 million.

Senior - proposed acquisition of UPECA

Slaughter and May, London and Hong Kong, is advising Senior plc on its proposed 100% acquisition of UPECA Technologies Sdn. Bhd. (UPECA) from Millennium Arena Sdn. Bhd., a holding company for UPECA’s private shareholders. The acquisition is for a total consideration of £58.2 million, payable in cash at completion, and is expected to complete by the end of March 2014.
