McDermott Advises Camfil on Acquisition of Handte Group

McDermott, jointly with Ashurst, successfully represented Camfil Holding GmbH in the acquisition of Handte Group which consists of entities in  Germany and subsidiaries in Switzerland, the Czech Republic and China. The acquisition is expected to be closed in the first quarter this year.

The Swedish Camfil group is the world's largest dust collection factory and produces air filters and clean air solutions.

Minerals Technologies Inc.'s Acquisition of AMCOL International

Minerals Technologies Inc. (“MTI”) and AMCOL International Corporation announced that they have signed a definitive merger agreement under which MTI will acquire AMCOL for $45.75 per share in cash, or a total value of approximately $1.7 billion. This transaction resulted from an unsolicited offer by MTI following the announcement of AMCOL’s proposed acquisition by Paris-based Imerys S.A. on February 12, 2014 and a series of competing public bids by MTI and Imerys.

Travers Smith advises ECI Partners on its acquisition of Avantia Insurance

A Travers Smith team led by private equity partner Edmund Reed has advised ECI Partners LLP on its investment in the £57m management buy-out of Avantia Insurance.

Avantia, which operates the online consumer home insurance brand HomeProtect, has experienced significant growth to date based on its innovative use of proprietory and third party software which enables it to offer home insurance to households which are typically considered "difficult to insure".

King & Wood Mallesons SJ Berwin advises TCR Capital on the acquisition of Locabri Group

King & Wood Mallesons SJ Berwin advised TCR Capital on the acquisition of Locabri Group from Ekkio Capital. At the end of closing, TCR Capital owns 65% of the capital, alongside Siparex (23%), management (9%) and Carvest (3%).

TCR Capital is an independent private equity partnership, managing €350 million, specialising in leading SMB main transmission operations on their markets.

Norton Rose Fulbright advises leading Chinese construction company on HK$540 million acquisition

Global legal practice Norton Rose Fulbright advised Chinese construction company CNQC Development Limited (CNQC) in an acquisition of 75 per cent of the issued share capital of Sunley Holdings Limited. The acquisition is at a consideration of HK$540 million.

The share purchase agreement was signed on 11 February 2014. Completion is expected to take place by end of March 2014 subject to the conditions to completion under the agreement.

Hogan Lovells Advised Hawksford on Fourth International Acquisition

Hogan Lovells has advised long-standing client Hawksford International on the acquisition of Janus Corporate Solutions, a Singapore-based corporate services business. The deal completed on 7 March 2014 for an undisclosed sum.

Hawksford is a leading independent wealth structuring company specialising in preserving and enhancing wealth. It was established in October 2008 following a management buyout of Rathbone Trust Company Jersey Limited, backed by UK private equity company Dunedin, on which Hogan Lovells advised.

Clifford Chance advises Carlyle on acquisition of ADT Korea from Tyco for US$1.93 billion

Hong Kong/Seoul: Leading international law firm Clifford Chance is advising The Carlyle Group on its acquisition of Tyco Fire & Security Services Korea Co. Ltd. and its subsidiaries (ADT Caps Co., Ltd., Capstec Co., Ltd. and ADT Security Co., Ltd.) that form and operate the company’s Korean security business (“ADT Korea”), from US-listed Tyco, the world’s largest pure-play fire protection and security company, for approximately US$1.93 billion.
