Pinsent Masons advises Misys Ltd. on the acquisition of IND Group

International law firm Pinsent Masons has advised Misys Ltd., a leading financial software company, on the acquisition of IND Group, a leading innovator in digital channels solutions regarding online-banking and mobile-banking.

The acquisition further strengthens Misys’ leading core banking capabilities, delivering the broadest retail banking solution in the market. It also builds on the partnership which Misys signed with IND Group in March 2013 and will augment future investment in the combined offering.

Hill Dickinson has advised Edward Billington and Sons on its acquisition of TSC Foods from its private equity owner, Key Capital Partners.

The Billington Group is one of the North West’s leading family owned businesses, operating in the food and agricultural sectors. Best known for its Glorious! range of soups and sauces, Scunthorpe-based TSC Foods produces and supplies soups and sauces to a host of major food retailers nationally.

Taylor Wessing advises Delfingen Industry S.A. on the acquisition of Langendorf Textil

Taylor Wessing advised Delfingen Industry S.A, Anteuil (France), on the acquisition of Langendorf Textil GmbH & Co. KG, Marktrodach (Germany), and its subsidiary MBG Techbelt Innovation, Münchberg (Germany). The parties agreed to keep the purchase price confidential.

With the acquisition of the two companies with a combined turnover of EUR 19 million, Delfingen carries on its globalisation strategy while strengthening its presence towards German carmakers and automotive suppliers, and while enriching its technical textile products range.

Cabot Credit Management advised by Macfarlanes on Marlin Financial Group Acquisition

Macfarlanes has advised leading acquirer and manager of consumer debt Cabot Credit Management (CCM) on its acquisition of Marlin Financial Group, a leading specialised debt buyer, for £295m.

The transaction brings together two complementary businesses, with Marlin's robust operation in collecting on non-performing debt and CCM's success with semi-performing debt.  Marlin will form part of the CCM group but continue to operate under the existing Marlin brand.

Dentons advises E.ON on the purchase of a Russian energy supplier

Dentons advised the electricity and gas provider E.ON Connecting Energies (ECT), a new international unit of E.ON Group, on the acquisition of the Russian company Noginsky Teplovoy Center (NTZ) from AMG Industrial Investment Corporation. NTZ provides heat and energy through a cogeneration plant to the Noginsk Industrial Park, located about 50 kilometers from Moscow. Tenants include leading companies such as the chemical and pharmaceutical group Bayer, the retail chain Metro and the Russian mobile service provider MegaFon.

Linklaters advises Gores Group on acquisition of SIG Deutsche Dachbaustoffe

Linklaters has advised the global investment firm The Gores Group on the acquisition of SIG Deutsche Dachbaustoffe GmbH and Melle Dachbaustoffe GmbH. Both companies are market-leading specialist distributors of roofing products to the German market and are currently part of the international group SIG plc (LSE:SHI).

In acquiring the companies, The Gores Group intends to invest in their growth strategies by expanding their existing product offering and providing capital to support their acquisition strategies.
