Dechert Advises Crown Holdings in Acquisition of Mivisa Envases

Dechert advised Crown Holdings, Inc., a global leader in consumer packaging, in its agreement to acquire Mivisa Envases, SAU, a leading Spanish manufacturer of two- and three-piece food cans and ends, from certain investment funds managed by affiliates of The Blackstone Group L.P., N+1 Mercapital and management, in a cash transaction valued at €1.2 billion. The acquisition, which is subject to review by the European Commission and other competition authorities, is expected to close during 2014 and to be earnings accretive.

CMS advises Masraf Al Rayan Q.S.C. on its takeover bid for Islamic Bank of Britain plc

CMS in London is advising Masraf Al Rayan Q.S.C. (“MAR”), one of the leading banks in Qatar on its recommended takeover offer for Islamic Bank of Britain plc (“IBB”). MAR, which is also listed on the Qatar Exchange, is making the offer through its wholly owned UK subsidiary Al Rayan (UK) Limited (“Al Rayan UK”).

WFW advises EMERAM Capital Partners GmbH on €39 million acquisition of Boards & More Group

Watson, Farley & Williams (“WFW”) has advised EMERAM Capital Partners GmbH, Munich (“EMERAM”) on the approximately €39 million acquisition of Boards & More Group (“Boards & More”), the world's leading company for kitesurfing, windsurfing and stand up paddling equipment.

Lawyers from four of WFW’s 13 offices worked together for EMERAM on the acquisition from the seller, Swiss Airesis Holding, advising on the management participation program, legal due diligence for the German and French local matters, as well as on the asset purchase agreement.

Wragge & Co packages up acquisition for Huhtamäki

Wragge & Co's Corporate team has advised Finnish client Huhtamäki Oyj on the acquisition of UK based BCP Fluted Packaging Ltd in a deal worth £16 million.

BCP specialises in corrugated packaging for the foodservice, confectionery and cosmetics markets. The Lancashire based business employs around 120 people and recorded net sales in 2012/13 of approximately €18 million.

Ashurst advises SATO in Magellan's acquisition

Ashurst has advised Japanese company SATO Holdings Corporation (SATO) on the acquisition of the Radio Frequency ID business from Magellan Technology Pty Ltd (Magellan).

SATO is a leading global provider of integrated Automatic Identification and Data Collection solutions that leverage barcode and Radio Frequency ID technologies and is a publicly listed company on the Tokyo Stock Exchange.

RCMA engages in trading and distribution of natural rubber and rubber products and the acquisition represents an important addition to its natural rubber trading capacity and capability across the Americas as the group looks to expand its global footprint.
