Weightmans helps Huws Gray continue growth strategy

Lawyers at Weightmans LLP have advised Anglesey-based building materials company Huws Gray on the addition of two more branches to its growing portfolio of trading locations, acquiring its first branch in Derbyshire and strengthening its presence in Denbighshire, north Wales.

Following an exciting 2012 which saw 5 acquisitions and the opening of two brownfield sites, Huws Gray now has 42 trading locations, further establishing itself as the largest independent builders merchant in Wales and North-West England.

Macfarlanes advises as Slater & Gordon acquires three legal practices

Macfarlanes has advised Australian listed law firm Slater & Gordon on its acquisition of Fentons Solicitors, the largest direct-to-consumer claimant personal injury law firm in the UK, with offices in London and Manchester.

The acquisition of Fentons, which signed yesterday and is due to complete in September, follows Slater & Gordon's recent acquisitions of Goodmans (based in Liverpool) and the personal injury practice of Taylor Vinters (based in Cambridge), both of which Macfarlanes also acted on.

Pinsent Masons advises Wesleyan on Practice Plan dental insurance acquisition

International law firm Pinsent Masons advised Wesleyan Assurance Society on its acquisition of dental insurance company Practice Plan Group, which is subject to regulatory approval.

Corporate partner Paul Harkin, senior associates Michael Lakin and Emma Callow and solicitor Phoebe Matthews led a cross-disciplinary team on the deal which further strengthens Wesleyan's position in the dental market where it already provides specialist financial advice and services to dentists.

Herbert Smith Freehills advises CNPC on its US$4.2 billion partial acquisition of Mozambique gas field

Herbert Smith Freehills has advised China National Petroleum Corporation (CNPC), the parent company of publically-listed PetroChina, on its acquisition of a 28.57% stake in Eni East Africa SpA, a wholly owned subsidiary of Eni SpA, for US$4.2 billion.

Following the completion of this transaction on 26 July 2013, CNPC now holds through Eni East Africa SpA a 20% stake in Mozambique's Area 4 gas field, located in the Rovuma basin, Mozambique. Herbert Smith Freehills advised on the acquisition, joint venture, competition and tax elements of this transaction.

A Travers Smith team led by Senior Partner Chris Hale has advised the management team on the buyout of uSwitch.com, backed by LDC. A leader in the UK price comparison market, uSwitch.com was ranked the top website by Hitwise, the online competitive intelligence service, in the 'Business and Finance - Utilities' category last year.

The Travers Smith team also included Corporate Associate: Joanna Roberts, Tax Partner: Kathleen Russ and Tax Associate: Richard Wild.

Travers Smith acts on the MBO of Isotrak

Travers Smith private equity partner Paul Dolman has advised on the acquisition by Finn Bidco Limited (backed by Lyceum Capital Partners LLP) on the acquisition of Isotrak Limited, a vehicle tracking and fleet management software provider, from Saints Chamonix Private Equity.

Investing alongside the existing management team, Lyceum Capital has taken a majority share in the business, which recently won contracts with a number of leading retailers in North America to add to its blue chip UK customer base. 

Rothermere Continuation - acquisition of the remaining ordinary voting shares of Daily Mail and General Trust

Slaughter and May is advising Rothermere Continuation Limited ('RCL') on a recommended scheme for the reorganisation of the share capital of Daily Mail and General Trust plc ('DMGT'), to acquire the remaining ordinary voting shares of DMGT that it does not currently own.

With the consent of the Takeover Panel, the scheme will not be made available in respect of the 'A' ordinary non-voting shares of DMGT.

Simpson Thacher Represents Sirius XM Radio Inc. in Acquisition of Agero's Connected Vehicle Services Unit

The Firm is representing Sirius XM Radio Inc. (“SiriusXM”) in connection with its $530 million acquisition of the connected vehicle services unit of Agero, Inc. (“Agero”). The connected vehicle unit of Agero is the leading provider of innovative telematics services, offering safety, security and convenience services for drivers and end-to-end, turnkey solutions for automakers.  The transaction, which is subject to customary closing conditions, including regulatory approvals, is expected to close in the fourth quarter of 2013.
