DWF advises Renovo on Ultimate Finance deal

Business law firm, DWF, has advised Renovo Group plc, the Manchester-based cash-shell, on its deal to buy business lender Ultimate Finance Group plc.

The cash and shares deal, which was announced on 22 July 2013, values Ultimate Finance at more than £19 million. Under the terms of the acquisition, Ultimate Finance’s shareholders will receive 6p in cash and 1.05 new Renovo shares for each share held in Ultimate Finance subject to a mix and match facility.

DWF advise Mosaic Private Equity and RooGreen Ventures on investment in Woodall Nicholson Group

Business law firm DWF has advised Mosaic Private Equity and RooGreen Ventures LLP on the investment in Woodall Nicholson Group, one of the UK's longest established coachbuilding businesses.

Mosaic Private Equity, RooGreen Ventures LLP and Enterprise Ventures have each made a significant investment in the business, which has a turnover of £24million and employs 180 people at factories in Westhoughton and Rochdale.

WFW advises Global Power Services on acquisition of Ascent Resources Italia

Watson, Farley & Williams (“WFW”), a leading international law firm, is pleased to announce that it has assisted Global Power Sources S.r.l. in the acquisition of its 100% stake in Ascent Resources Italia S.r.l. from Ascent Resources Plc for approximately €8 million.

WFW advised Global Power Sources on the negotiation, drafting and finalisation of the contractual documentation concerning the acquisition.

SJ Berwin advises Intermediate Capital Group on the acquisition of energy business Inenco Group

Leading international law firm SJ Berwin has advised asset manager Intermediate Capital Group plc (ICG) and its affiliated funds on the acquisition of Inenco Group, the energy division of EnServe Group, the energy and utility outsourcing business owned by Cinven.

Inenco Group was sold to funds managed by Intermediate Capital Group along with independent private equity firm Vitruvian Partners LLP and management.

Herbert Smith Freehills advises on UK's largest ever pension insurance buyout

Herbert Smith Freehills has advised Pension Insurance Corporation (PIC), a specialist provider of insurance solutions for defined benefit pension funds, on the pension insurance buyout of the EMI group pension fund, which since 2011 has been a liability of Citigroup. The transaction covers £1.5 billion of liabilities and 20,000 members, and is the UK's largest ever pension insurance buyout. It enables the trustee of the EMI Group Pension Fund to insure all its liabilities with PIC, providing certainty to members and all parties involved.

Ashurst advises Macquarie on its proposed acquisition of ING's investment management business in South Korea

Ashurst has advised Macquarie Investment Management, part of the Macquarie Funds Group, on its agreement to acquire ING Investment Management Korea from ING Group ("ING"). Completion of the acquisition is subject to certain closing conditions including regulatory approval.

Upon completion of the transaction, Macquarie Investment Management and Macquarie Infrastructure and Real Assets will together be the largest foreign asset manager in Korea by assets under management.
