DLA Piper Sheffield Corporate team advises local manufacturer on two transactions in two weeks

DLA Piper's Sheffield Corporate team has advised South Yorkshire manufacturing company, Naylor Industries, on two transactions in two weeks.

On 5 July, Naylor Drainage acquired Wath-on-Dearne based plastic extrusion business Amco Plastics Ltd which currently has a turnover of £4.4m. This transaction follows Naylor Gardenware's acquisition, on 24 June, of ceramic gardenware business Clough Mill.

RPC advises on Dialog Semiconductor’s $310 million acquisition of iWatt

RPC has advised Dialog Semiconductor Plc, one of Europe’s fastest growing publicly listed semiconductor companies, on its $310 million acquisition of iWatt.

iWatt is a leading provider of digital power management integrated circuits based in Silicon Valley in California.  Its complementary technology will enhance Dialog’s leadership in power management for tablets and smartphones.

DLA Piper advises Lloyds Development Capital on MBO of Angus Fire

DLA Piper has advised Lloyds Development Capital (LDC), on the circa £62 million MBO of Angus Fire, which was acquired from United Technology Corporation (UTC), a Fortune 500 US listed business.

The deal sees LDC take a significant equity stake in the business which has been formed via the acquisition of four international trading divisions of Connecticut-based United Technology Corporation; Angus Fire Products, Angus Fire Engineering, National Foam (US) and Eau et Feu (France).

Osborne Clarke advises Seven Technologies on £7 million acquisition

Osborne Clarke’s Corporate team has advised engineering specialist Seven Technologies on its £7m takeover of AIM listed Datong.

Datong is a leading provider of intelligence equipment and solutions.

Seven’s acquisition of Datong will create one of the sector’s largest independent specialist technology engineering businesses with a turnover in excess of £20m and 140 employees.

The Osborne Clarke team advising Seven was led by Partner Matthew Lewis, supported by Associate Director Mark Wesker and Senior Associate Simon Jones.

DWF Advises International Healthcare Business on Acquisition

Business law firm, DWF, has advised Techne Corporation, a US-based manufacturer of haematology controls and biotechnology products, on its agreement to acquire calibration and quality control materials manufacturer, Bionostics Holdings Limited.

The $104 million deal, which was exchanged on 17 June 2013, saw R&D Systems, a subsidiary of Techne, acquire the entire issued share capital of Bionostics Holding Limited and its operating subsidiary Bionostics, Inc.

Ericsson - acquisition of Red Bee Media

Slaughter and May is advising Telefonaktiebolaget LM Ericsson (PUBL), a world-leading provider of communications technology and services, on its acquisition of Red Bee Media, a world leading media services company, from an entity controlled by Macquarie Advanced Investment Partners, L.P.

The acquisition, which was announced on 1 July 2013, is subject to regulatory approval and other contractual conditions.

Slaughter and May is advising Rothermere Continuation Limited on a definitive agreement to acquire the entire shareholding of The Esmond Harmsworth 1998 Settlement in the Daily Mail and General Trust plc ('the Company') ordinary voting shares. The agreement will increase Rothermere Continuation Limited's shareholding of ordinary voting shares in the Company from 59.9% to 89.2%. Rothermere Continuation Limited is owned by a trust for the benefit of the Viscount Rothermere and his immediate family.

International law firm Freshfields Bruckhaus Deringer has advised The Abraaj Group on its agreement to acquire a 100% stake in Fan Milk International (“FMI”), West Africa’s market leading manufacturer and distributor of frozen dairy products and juices.
The acquisition of what is an iconic West African food consumer brand represents the largest ever African FMCG private equity transaction in Sub-Saharan Africa, outside RSA.

Powerhouse France, a new investment vehicle organised and managed by TwentyTwo Real Estate, has completed the acquisition of Financière SELEC from investment vehicles managed by LBO France and Deutsche Asset and Wealth Management's real estate investment business (formerly RREEF Real Estate). Powerhouse France financed the acquisition with equity provided equally by Massena Partners and Farallon Capital Management L.L.C.
