FIS sells majority interest in Capco Consulting Business to Clayton, Dubilier & Rice for net cash consideration of $469 million

Jones Day advised the management of The Capital Markets Company (UK) Limited (trading as "Capco") on the acquisition of a majority stake in Capco by Clayton, Dubilier & Rice. FIS, the principal seller, received net cash proceeds of $469 million and retained an approximately 40 percent equity interest in the business.

Osborne Clarke advises TomTec on its takeover by Philips

International legal practice Osborne Clarke has advised the shareholders of Munich-based TomTec Imaging Systems GmbH on its takeover by Dutch-based medical technology manufacturer Philips N.V.

A leading provider of intelligent image analysis software, especially for diagnostic ultrasound, TomTec’s software is used by more than 20,000 physicians and 600 health facilities worldwide to treat their patients daily.

DLA Piper advises Wind Point Partners in sale of Performance Optics to HOYA Corporation

DLA Piper represented Wind Point Partners, a Chicago-based private equity investment firm, in the sale of Performance Optics LLC, including its operating subsidiaries Vision Ease Lens and Daemyung Optical Co., Ltd., to HOYA Corporation. Performance Optics is a global manufacturer of ophthalmic lenses. Wind Point acquired Vision Ease in September 2014.

British cruise operator Cruise.co.uk, a portfolio company of Bridgepoint Development Capital, is acquiring German online travel agency Kreuzfahrtberater.de for EUR 25 million. The acquisition will create a new European market leader with a presence in Europe’s two largest cruise markets, Germany and the UK, and sales of more than EUR 250 million. The founders of Kreuzfahrtberater.de are reinvesting in the joint business venture and will continue to hold important positions in the leadership team.

Mayer Brown advises on £200 million sale of JAC Travel to Australian-listed Webjet

Mayer Brown has advised its private equity client Vitruvian Partners and its portfolio company JAC Travel on its sale to Australian-listed travel company Webjet Limited for £200 million.

JAC Travel is a UK headquartered B2B travel provider specialising in wholesale accommodation and tailored tours to groups visiting the UK, Ireland and Europe.

The acquisition will be funded by a fully underwritten accelerated cash and debt funding and a new issue of Webjet shares. The transaction is expected to close in September.

Kirkland & Ellis Represents Tronox in $1.325B Sale of Alkali Chemicals Business to Genesis Energy

Kirkland & Ellis LLP represents Tronox Limited (NYSE:TROX), which announced today that it has signed a definitive agreement to sell its Alkali Chemicals business, the world’s largest producer of natural soda ash, to Genesis Energy, L.P. (NYSE:GEL), a diversified midstream energy master limited partnership headquartered in Houston, Texas, for $1.325 billion in cash. The transaction is expected to close in the second half of 2017, subject to customary regulatory approvals and closing conditions.

Gowling WLG advises shareholders on the £29m sale of Entanet to CityFibre

Gowling WLG advised the shareholders of longstanding client Entanet Holdings on its £29 million sale to Cityfibre Infrastructure Holdings plc, which completed on 1 August 2017. The acquisition of Entanet by CityFibre formed part of CityFibre's successful £200 million capital raising announced last month.
The shareholders include funds managed by Mobeus Equity Partners. Gowling WLG advised Mobeus and Entanet on the buyout of Entanet International Limited in February 2014 and has continued to advise the group since then.
